It is possible to use a foreign mobile number to register a company in South Africa, but it is not recommended because you won't be able to do director changes as the OTP is only sent to local numbers.

Yes, that is true, my recommendation is to focus on your shareholder agreement. Minority shareholders in a private company are not in a strong position especially on exit.

Great info, very much appreciated. You mentioned that you can use contract/s again as a means to register for VAT, is this still law? Do you still require the R50k in bank account with 3 or more invoices to register when you're using the contract/s method? We manufacture agricultural equipment, so I opened a separate business that I want to use solely for irrigation equipment. Is there a way for me to speak to you directly?🤔

Hi there, yes you can use a contract in your VAT application as opposed to the three invoices method. My recommendation is you call the office on 021-5954433 and speak to Amber as she is the VAT specialist. I am, currently recovering from a spinal fusion operation and not in the office.

Good day. I need a bit of help... I registered a company in November 2022, I had a friend of mine listed as a director and because of distance we were never able to get a business account and so we've been trading with my personal account. The company stopped operating in May this year, and I'd like to file taxes for 2022/2023 and 2024 and de-register the business. Is it possible to file with my personal account, and if not what can I do to resolve the issue.

Hi there, your situation is more complex as it may involve loan accounts. My recommendation is that you get advice from an accountant. One option is that you could choose to keep the company if there is a tax loss, but only if you intend starting another business. Sorry I could not be more helpful.

Thank you so much for this. I have one question though; I tried to change my company phone number to my new one so I can get the OTP, which I was successful in changing it. But when I file for B/O, it keeps using my old phone number. Is there maybe a way to fix that or maybe I need to wait until a certain period in order for it to change to the new phone number?

Hi Mithra, yes you can, there should be a dropdown allowing you to resign the member. This will automatically reduce their membership to zero (visible in grey on the last page). Hi there, if you log on and navigate to the place where you downloaded the BO certificate you will see there is an edit button. That should allow you to edit the application.

Why compare “average” tax rate for an individual vs company tax rate. Surely better to look at the point where the “marginal” tax rate for an individual exceeds corporate tax rate (currently about R31,000pm). Once you earn a salary > this amount every additional Rand is taxed at 31%
