Hi Luna, You are putting the cart before the horse. First stop trading and then start the deregistration process as explained in the video. You do not have to be dormant for 12 months to start the process.

Hi Andries, my suggestion is that you contact a mid to small size accounting firm to assist you. I prefer small firms over individuals due to the continuity they offer and preferably a firm close to you for practicality.

Hi there, CIPC has not made the process easy, as it uses legal jargon and does not supply anyone with templates. We can assist you, but will firstly you would need to delete your BO application under your own profile, as CIPC does not allow duplicate applications. Why compare “average” tax rate for an individual vs company tax rate. Surely better to look at the point where the “marginal” tax rate for an individual exceeds corporate tax rate (currently about R31,000pm). Once you earn a salary > this amount every additional Rand is taxed at 31%

Hi Sphele, No it does not. The ownership of the property is registered in the Deed office and the registered address of the company has no bearing at all on the ownership of the company. I hope this answers your question.

Yes, that is correct. Government Employees are not allowed to conduct business with the Government. In fact, their ID numbers are flagged with CSD.

Hi there, I assume you mean your company has been finally deregistered by CIPC due to non payment of the annual returns. If this is the case, CIPC will only restore your company if you meet one of the following 3 conditions. 1. Court order 2. It owns property 3. You can prove that it was trading at the time of the deregistration. As the company technically does not exist anymore, you will not be able to change any of the directors.

very helpful thanks. we have ended up paying 20% dividend tax on dividends this year. Our business is in its third year now. 20% is way to high!!!! It makes me sick with worry that we have to work smarter and harder to make more money to live comfortably and pay all the taxes. Hi there, this is the very reason CIPC introduced the OTP, so no its not going to be easy. You will have to sign an affidavit that you can't get hold of the director and then lodge a ticket with CIPC. Good Luck!

Hi there, the method of valuing shares should be stipulated in the shareholders agreement. If you don't have one it boils down to what a willing buyer and a willing seller agree on. In other words, they can make you an offer and you have the choice of accepting it or not. The same applies the other way round where you can make the offer and they have the choice of accepting it or not.

I am however sure the concepts and principles will be similar just with differing tax rates. I therefore can't comment on legislation outside South Africa. Our tax rates are generally much higher than in the US.
