Hi, i registered my LLC in wyoming in sep 2023 but in 2024 i didn't pay to registered agent i didn't filled annual report and my LLC was disolved due to TAX please tell me do i need to pay reinstatment of registered agent or just need to pay the LLC reinstatment fee
@ayerslaw
@ayerslaw 11 күн бұрын
@@amzmaalik You can talk to your registered agent about the situation. To reinstate the LLC, you’ll need to pay the reinstatement fee and any other fees that Wyoming says are due. Your registered agent will likely need to be paid if you want them to continue as your registered agent.

I signe a contract with a company in 2023 just found out itcwas administratively dissolved in 2022 am i bound by the contract...Tennessee
@ayerslaw
@ayerslaw 11 күн бұрын
@@poetryinmotionbrendamathis4049 You’d need to look at the contract first. If there is a provision that says the dissolution of one of the parties means the contract is breached or otherwise ineffective, then you may not be bound. But your best bet is to speak to an attorney licensed in Tennessee to see what the implications of the administrative dissolution are.

Can you put your debts in a trust
@ayerslaw
@ayerslaw Ай бұрын
While you can try to use this technique, I'm not sure it would be successful. It would not relieve you of your debt obligation unless the creditor agreed to it, but before they would agree, they would likely want a guarantee of some type that you would still be liable if the trust were to default on the debt. So, while in theory this may be possible, I have not seen it in practice as it's not likely to achieve the goal you are seeking.

How about a real estate? If I buy a house with my own money( personal account, not joint account), will it be considered as my own asset, not a joint asset at divorce?
@ayerslaw
@ayerslaw Ай бұрын
That's a good question for a family lawyer in your state. Normally, if you can show that the asset is solely yours, then a court can consider it to be a joint asset. However, in some states, even if it's a separate asset, your spouse's signature is required to sell it even if you aren't going through a divorce. So you should check with a local family lawyer on this one.

What is done for step children that you did not raise.
@ayerslaw
@ayerslaw Ай бұрын
How you handle step children is an important reason to have an estate plan. If you did not adopt them, then normally, stepchildren are not entitled to inherit from you unless you specifically leave a provision for them in your will or trust. When working with blended families, a lawyer can help you navigate this to make sure your legacy is going to the people you intend it to go to.

Is it "sweat equity" if they are paid for their efforts in creating that said software or program? Does the first partner, who hired the programmer and has been covering the entirety of the cost to build, code and develop, including the programmers salary, receive a disbursement to be made whole before profits are split once the product is profitable?
@ayerslaw
@ayerslaw Ай бұрын
In that situation, it's going to be an issue of what the agreements between the partner and the programmer say. They should address this situation and how things are to be treated.

Thanks for the comment Tammy. Without seeing the notice or comment that is on your inbox, I really can't tell you what to do. Often times, people are given arbitrary deadlines to respond, so it's important to figure out if the deadline comes from court or is just one that the other person is arbitrarily demanding. A call to a local lawyer can probably help clear some of that up for you.

My older brother took my mother to an attorney and made a will and general power of attorney including healthcare power of attorney without consulting other siblings. After we obtained a copy of the documents, my mother had no idea of what was done and immediately asked to redo the will and power of attorney. Can we do a new will and new power of attorney to void the first one ?

Yes you can. Normally, when you create these new documents, there is language at the beginning that specifically says the new document revokes the prior documents.

If punitive damages are granted by a State, will summary judgement be discussed between the attorneys with the Judge.
@ayerslaw
@ayerslaw 3 ай бұрын
It would probably depend on how they were granted. They could be granted on a summary judgment motion, they could be granted after trial, or they could be granted if the state agrees that they should be imposed. As far as what is discussed between the attorneys and a Judge, that's usually something you'd need to speak to the attorneys in your case about.

Being served is often less dramatic than you think it will be. If you are served, you should then get a copy of what you are served with to your attorney (or the insurance company if they will be hiring an attorney on your behalf). You can speak to an attorney now if you'd like, but you may also want to figure out if the insurance company will be providing an attorney first.

@ayerslaw
@ayerslaw Ай бұрын
Well, if you know you are going to be served, it's probably a good idea to speak with an attorney so you understand your options after you are served. Normally, you won't know about it until after you are served, and in that case, it's a good idea to speak to an attorney as soon after you are served as possible.

@ayerslaw
@ayerslaw 3 ай бұрын
It's a big "it all depends" answer. If your mother had a will, that would say what would happen, but if she didn't, you'd need to look at your state's laws on "intestate" distributions to find out how things are distributed.

@ayerslaw

Hi Andrew. Thanks for the video. You have a very mellow helpful way of delivering information. can you please explain in the cases of the ways to avoid probate and whether or not you add the 401k's and retirement investments into the trust, what tax implications they might have. So for instance, If you are a joint owner on a property with family etc, If you put the property into a trust can anyone write off expenses from the home, renovations, repairs property taxes etc? Is there a downside to adding the Retirement accounts to the Trust as the beneficiary of the trust as you mentioned in one of your other videos? Thanks for your help.

If they are different parties, then yes, it's not the same person suing twice. Usually the decision from the first case isn't binding on the second plaintiff to sue you unless they were also a party in the other case.
