I appreciated this post, thanks. I have heard that many young people who feel a passion for songwriting can actually be deterred, unfortunately, by the fear of writing a melody that will later be found to be similar to a pre-existing one. And should that surprise anyone? Try to write a "catchy" melody and it is instantly risky. If it sounds good, chances are it's close to something previously written. They say the pendulum goes back and forth with these kinds of lawsuits. I think the trend now is to give some slack to people in cases that are not a slam-dunk. We may hear about a jury verdict in favor of the aggrieved party, but then there will be a reversal. However, the damage would already be done to someone like Carey. Everyone would remember the lawsuit and be suspicious, right? Didn't Katy Perry go through this? A jury with its relative gullibility is likely to say "the two songs sound similar." But that's not enough.

Hey, if I want to close my LLC in TN couldn't I just ignore the annual report and they'll close the LLC for me so I don't have to go through all the steps myself to close it? I thought I'd use it but I never did, idc if I can't conduct business in TN either

Good afternoon, I have decided to cancel my llc that I opened 2 months ago(MI). I haven’t used it or anything it was just a concept. I got my own ein through irs for the LLC too. My only concern is if dissolve my llc will it take care of the EIN and everything or would I need to do some more steps from my part. Thanks in advance

Hey, great question. The EIN is only attached to that entity so if you dissolve it that's really all that's needed. However, there is a process for closing the business account with irs if you never used it. www.irs.gov/businesses/small-businesses-self-employed/canceling-an-ein-closing-your-account

I’m in Michigan all the steps I need to do is - file final tax return - dissolve my llc - get tax clearance cuz it’s a requirement in MI after dissolving Llc {An LLC must receive tax clearance from the Michigan Department of Treasury within 60 days of filing articles of dissolution} That’s all the steps I need to take in order to stay legally complaint and not need to pay any fees later on? I would highly appreciate it if you can help me out. Earned a subscriber🙏🏻

You could be an owner of his LLC if you buy in for equity but with no responsibilities for management. You could also loan the company money with interested paid back or various other agreements that could work for your situation. You do have to be careful sometimes as you can get into securities laws which is no fun! This is probably needing a lawyer to make sure you get it right!

The LLC name should listed in the document so if it is not, then be sure to write it in. Make sure that the agreement is with the LLC and not you personally; otherwise, the LLC is not providing that protection for you. I happen to be a huge fan of Mariah's so I can admit to being biased, but I've heard her talk about giving artists credit. She is not the kind of artist to borrow from someone and not give them writing credit. She doesn't believe in stealing from artists. I honestly hope she wins as this song has grown in popularity over the last 25 years and for him to wait to 2022 to sue, it all feels like a weird, poorly contrived money grab. Also, if Marvin Gaye's Estate lost is copywrite infringement lawsuit against Ed Sheeran, then I don't see how Andy Stone's suit can win. Speaking of the Gaye v. Sheeran lawsuit, I am blown away that the Gaye family lost. Sheeran's song is clearly a ripoff.

Congrats on the business! I would recommend getting an EIN and a separate bank account and then have all business related activity through that account. As far as the taxes, I'd run that by an accountant. Hope that helps
