The election was subject to proration since the number of shares issued was capped. Those who elected all stock received 49.7% of the merger compensation as cash.

Without getting into detail... your prior video showed treating the cash and stock transaction separately as taxable and non-taxable. But the 8937 talks a different game... have you modified guidance?

Yes, watch the video and reach out, as mentioned.

@@patrickswift6674 Each share is allocated the merger consideration (cash and Broadcom shares, as modified by the proration adjustment).

52.1% stock - 47.9% Cash is what we have been told internally. Again, we so much appreciate your leadership and advise in these confusing times.

For those who have not submitted election form, they will be by default given 1 option i.e to tender shares for cash at $142.50/share?

It's September 28th now, I did make my elections but can I still sell my VMW stock now or before October 30th? Thank you.

Excellent job explaining this, Patrick. Thank you. Something tells me more lawyers may enter this fray. Given the disparity in the two election options - the inadequacy of the cash offer - plus the short election window, it's clear non-electors aren't going to be happy with their result, not just because of the (un)fair value received but also the tax exposure. What a poorly constructed offer!

I didn’t get a math that you did at the last segment, where you said 85 millions/ 300 millions which is 28-29% of Broadcom stock, so what if all 430 millions Shares selected for Broadcom stocks exchanges then as per your calculation it’s 215 millions/ 430 millions which give around 50% of Broadcom stocks?

Hi - you are correct in your example. They will pro-rate by taking the number of shares still needed for the cash election (however many they are short by) and dividing it by the number of shares elected for Broadcom shares. Please reach out to me at [email protected], I’d love to chat in more detail.
