Thanks for watching and for your kind words. Those are great questions. I need to do some more in depth research and make a video on how to form an LLC and set up a bank account as a non-resident. Regarding obtaining an EIN as a foreigner, first, you can mail or fax in IRS Form SS-4. Just make sure you answer "Foreign" to question 7(b). Just remember to set up the LLC first. If you want to use a traditional bank, in most cases you will need to show a US address (e.g., a virtual address - some but not all banks may request a lease). And, the EIN document you receive from the IRS should have a US address (you don't need one to obtain an EIN, but having a US address on your EIN will help you open a US LLC bank account). I have read that Wells Fargo is one of the easiest banks in which a foreign-owned LLC can open an account. Bizee works with Bank of America, so you should have that free consult with the banker. Alternatively, one non-FDIC insured option is an entity called "Wise." They are not a bank, but they can accept money from US sources, then transfer to your account (assuming you are not in a restricted country). The business tax consultation is about 30 minutes and will cover things like tax election (e.g., should your LLC be taxed as a sole-proprietorship or S Corporation), book keeping, tax savings strategies, etc. It is meant as a 1-time free session with immediate actionable items along with things to think about implementing long-term. However, if you need a CPA to file your tax returns, that will be something you would arrange separate from this formation-service add-on. I generally recommend having an accountant to help with ongoing or tax filing matters. If you need a referral, reach out to me at www.chrisjacksonlaw.com. You're welcome. I believe you are asking whether you can pay yourself through the LLC? The answer is yes, it is quite common to pay yourself a salary from your LLC, especially if you elect S Corp tax status (though I cannot give tax advice). I personally pay myself from my own LLC, and I also signed up for a 401(k) with a company match (which is tax deductible to the LLC). Note that forming an entity through this service comes with a free tax consultation, so please take advantage of that and ask all the questions you have. Hello Thank you so much for your videos extremely helpful and detailed. I have a question please If I’m registering my company but will outsource in another country do I need to know anything different? Also before signing up do I need a PO Box address if I need to get my mail there?

Thank you for your kind words! Note that outsourcing labor or services to another country is not something that is addressed in the process of setting up an LLC. Regarding the address question, there are two things you need: 1. You need an agent for service of process (registered agent) in the state of formation (which Bizee will provide for free in the first year, then cap at $119 per year thereafter). Here is a direct link to that service: bit.ly/Registered-Agent. Or, you can be your own agent for service of process. 2. You will need a business address for the LLC itself. If you don't want to use your own address, you can use a UPS Store mailbox, a virtual office service and possibly a PO box (if a physical address isn't required in the state). I personally use two different virtual office services (see my notes in the description under this video). I prefer Bizee's option at $29/month because that is the cheapest I've found, and they notify you when they receive mail and scan/store such mail in your online access dashboard. Hi Chris. Very clear, concise and helpful video. I subscribed. Question: As a sole member, manager managed, LLC, can I hold all of the Officer titles as well as "Manager"? If yes, should I sign business documents using the title I believe best represents the proper signatory for each specific document? Of course this would probably result in a multiplicity of business documents signed by me in differing official capacities. Would I be creating a problem for myself? Thanks for your response.

Just identify in the Operating Agreement that you will serve as the Manager and also hold the title(s) of CEO, etc. Also, I generally have documents signed on behalf of the LLC with the following title: John Doe, Manager & CEO. I add Manager since it is Manager-Managed and the Manager has all rights provided in an Operating Agreement. I add CEO since most parties are familiar with that title as the highest level officer (though Manager would be in the case of a Manager Managed LLC). 2. If you don't have an Operating Agreement which covers this and other important matters for your LLC, please note that a related company of mine is selling legal templates, including a Single-Member Manager-Managed LLC Operating Agreement. It is fully customizable (with directions) and attorney quality, but at a fraction of what you'd pay an attorney (as it doesn't come with legal advice). Hi Chris, just rewatch your video for filling out the form. how do you suggest if the beneficial owner is holding company, "what type of identifying document type" in Box 48 to fill in? Holding company doesnt have ID :)))) I only have Article of Organization. thanks again for your education video.

Hi. That's a great question, thanks. I just went through the process again to see how best to complete that part of the form, and since the instructions provided by FinCEN don't answer those questions, here are some suggestions: 1. File the BOI Form for the Holding Company first, and obtain a FinCEN ID for the Holding Company. Then, enter the Holding Company's FINCEN ID in that section where it asks for information on the Beneficial Owner. Once you do that, it won't ask you other questions about the Beneficial Owner (I hope ... please let me know). This is the cleanest option, and the receipt you get from FinCEN will have the "Reporting Company's FinCEN ID" on the first page. 2. If that is not an option for some reason, put the Company name in #38. Put "N/A" in #39. For Date of Birth, but the date entity was formed. For #48, I would choose "State/Local/Tribe" issued ID. For ID number, I would use the entity number provided by the state when you formed your entity (usually file-stamped on your Articles). Ignore #50c. Then, upload the Articles. Hope that helps! Regarding to Wyoming LLC holding brokerage account, does a California resident have to register the WY LLC as a foreign entity to California subject to $800 franchise tax?. In this case, the manager or member of WY LLC must be shown in the LLC-12. There is no anonymity in this case. Is there any better way to maintain anonymity.

I can't give legal advice without being hired, but here are some general things to consider: First, whether you have to register your WY LLC in CA is not black and white and is on a case-by-case basis. Here is a good article which addresses this issue: sdcorporatelaw.com/business-newsletter/when-to-register-a-foreign-business-in-california/. However, if you do have to register your WY LLC in CA, you are correct that every two years you'll need to file a Statement of Information (LLC-12). Second, anonymity in CA is as you likely know hard to achieve. I'll give you two fact patterns. 1. Assume you have a WY LLC only that will register in CA. If you absolutely want to keep your name off of the statement of information (LLC-12), then the only loopholes I can think of are: (i) having two or more managers (e.g., your spouse) and have the other manager listed on the LLC-12 (and use a virtual address either in WY or CA); (ii) having a living trust as the member, which living trust does not have your names and list that in the Manager/Member section as the member (though you'd need someone other than yourself to sign the LLC-12); (iii) have a WY LLC as the holding company for your WY LLC operating company, and list the WY LLC holding company as the Member of the WY LLC operating company on the LLC-12. 2. Assume you have a WY LLC as the holding company for a CA LLC. In this scenario, since the CA LLC does not list its manager or member on the Articles of Organization, the place it gets disclosed is the statement of information (LLC-12). Again, you can list your WY LLC as the member. Note also that you can change whether your WY LLC is manager-managed or member-managed at any time by amending the WY LLC's Operating Agreement. With the above said, anonymity is difficult to achieve in CA, but there are creative ways to address this issue if it is important to you. I hope that helps. Best regards, Chris

With that said, generally speaking it is typical in a holding company structure that the subsidiary LLC is the operating entity which would be doing business (e.g., managing a brokerage account) or holding real estate. The Holding Company usually does no business (unless it has a Management Services Agreement with its subsidiary(ies)) other than to have profits distributed to it which are then distributed to its member(s). Also I cannot give tax advice (under any circumstances). However, it should not make a difference whether the subsidiary operating company is a WY LLC or CA LLC as to whether the WY LLC holding company is subject to the FTB $800. The FTB is pretty aggressive and may try to collect the additional $800 simply because the owner of the holding company is in CA. Some people have opined that the holding companies should qualify in CA while others don't think it's necessary ... the link I sent you will go into more detail. I cannot provide any specific advice on this unfortunately. Best regards, Chris

In a nutshell, I’m a California resident, wanting to set up an LLC, in WY.. for obvious reasons, but I wanted to confirm, since I am not setting up a brick and mortar business, as I’m doing online coaching & consulting, I will need an agent in WY correct? If you choose S Corp tax status, which I recommend for consulting LLCs which are profitable, then you will have to file a tax return for your LLC (which will include the states in which you are doing business). Yes, in my related company's Operating Agreement templates, a Manager has a lot of authority. Also, LLC Managers are generally perceived by third-parties to have the authority to transact on behalf of the LLC (much like a CEO). 2. The templates are here: bit.ly/Legal-Templates. 3. They are in Word format, come with instructions and are fully-customizable. For example, if you want to specifically call out that authority, you can add something like the following to Section 5.7: "to manage brokerage activities, including without limitation buying and selling stocks, ETFs or funds on behalf of the Company." The answer is that the Operating Agreement is an internal document that governs how your LLC should operate, how decisions are made, how members are added, etc. You should just keep it in your files (but follow the rules and guidelines). While it is generally unnecessary to provide a copy to anyone, sometimes a bank where you are opening an LLC bank account will ask for a copy to confirm the name(s) of the member(s) (especially if you are in a state like WY which does not publicly disclose the names of the members). Thank you for your instructional videos. I opened a WY LLC that owns an Ohio LLC. When applying for an EIN for my WY LLC, what is the correct response to the question "county/state where LLC is located"? Do I put the business's physical location (Ohio) or the county/state the LLC was formed (WY)? I found it confusing as the next question asks where the article of organization is filed for WY llc which is clearly WY state.

Hi. Thanks for your question. It is a good question, as it is not clear what they need. I can't give you legal advice without being retained, but here are some general things to consider. The instructions from the IRS are to enter the "primary physical location" of the LLC. Note that, for WY LLCs, I normally just use the County and State applicable to the address listed on Section IV of the WY LLC's Articles of Organization (which is the listed principal office address of the LLC in WY). With that said, I don't believe it matters too much. However, since you have a holding company structure with a WY LLC holding company and an Ohio LLC subsidiary, I recommend using a WY address (if you have one) for the WY address' EIN or an OH address if you don't. Hi. By FinCEN they are likely referring to the Beneficial Owner Information Report (BOI or BOIR). I have a couple of videos on this. Hi. That's a good question (and I'm assuming anonymity is not important to you). I guess it comes down to whether you want to brand your name or some other brand. For example, I use my own name for my law firm (Chris Jackson Law, PC). In that entity, I'm the one doing all the legal work, and I want my clients to know who their dealing with at all times. Alternatively, for my LLCs I use names that are descriptive of what each LLC does. My name is not as important in those businesses, and I want the LLCs to carry on after I'm gone and for their respective brands to develop value. To set up a WY LLC (for a brokerage account or otherwise), feel free to check out my video here on how to do it on your own: kzbin.info/www/bejne/hIbIq4uOmpyhras. In addition to excellent asset protection, the owners/members of a WY LLC will benefit from anonymity (if that's important). The members are not listed on the LLC's Articles of Organization filed in WY (and accessible to the public). The only thing listed is your LLC's business address and registered agent. There are many options for the address, and I discuss these in the video. Just note that, the WY annual report will require someone to sign it as an authorized representative. No title is provided, and thus nobody will know the signatory's relationship to the LLC. However, if you don't want your name on the annual report, then you can simply authorize someone else to sign. As for the holding company structure, I don't know that you need one for a brokerage account business. It is up to you, but just note that having 2 LLCs will cost you more. I normally recommend holding company structures for real estate, manufacturing or other potentially high-risk businesses. With that said, if you want to form a holding company in WY and then have a subsidiary LLC in your home state, you would set up the WY LLC first. Then, when you form the second LLC, you list the WY LLC as the member (and manager if you want anonymity and your state requires the name of the manager). Essentially, you would own the WY LLC and the WY LLC would own the second LLC. For this purpose, I have a lot of videos on how to set up LLCs in states other than WY (CA, DE, TX, FL, NC, NY and more on the way). I hope this helps, but let me know if you have any questions. Hi. Thanks for watching and for your questions. I cannot give you tax advice or legal advice (without being retained), but here are some general things to consider: 1. If you select S Corp tax status for your LLC, then you can pay yourself (and other employees, including your child). 2. The amount you have to pay as wages versus as distributions to the member varies and depends upon a number of factors (including what is a typical salary for someone in your position in the same industry). Generally speaking CPAs will give you a range between 30-60 percent of profit should be paid as wages, and the balance can be pass-through taxable (which excludes social security, medicare and unemployment insurance tax). 3. Being able to pay yourself a salary also allows you to set up a 401k with a possible company match. I do this myself and highly recommend it. I use QuickBooks and Guideline is the 401k provider. 4. Note that I have a very extensive guide that goes into great detail (with examples) about this and other questions an owner of an LLC may have, and you can find that here: bit.ly/Legal-Templates. Yes, I prefer WY LLCs for the reasons I set forth in my "Best State for Your LLC" video. 2. However, I have this CA LLC video (and other states' LLC videos) for a couple of reasons. First, in case someone wants to have a holding company structure for their LLCs (e.g., whereby you are the member of the WY LLC and the WY LLC is the member of the CA LLC and the CA LLC is the operating LLC). Second, if someone would rather just open a CA LLC to avoid the extra cost of opening a WY LLC and having it qualify to do business in CA (if required). This will save on the cost of qualifying/registering a foreign (e.g., WY) LLC in CA, which is a one-time cost. It will also save on the WY $60/yr. annual report. Lastly, they will save on the WY registered agent cost (although this is free for Year 1 with Bizee and capped at $119/yr thereafter). 3. In your case, whether you need a holding company structure (a WY LLC and CA LLC) is a question of how tolerant you are as to costs (2 LLCs vs 1 LLC) and what are the potential risks of your operating entity (which presumably will be investing your Roth IRA funds). A holding company structure will provide better asset protection, but it comes at higher initial and annual costs. 4. However, I recommend Wyoming (this video) as the best jurisdiction for both residents and non-residents. The primary difference is that, when you get to the EIN section, select that you are a non-resident/foreigner so that they know how to obtain the EIN for your LLC. You will then need to update your LLC information in NY when you file your annual report. Yes, Wyoming only discloses the business address on the Articles of Organization (and nothing about the name of the member). When you file the annual report in WY (a year after you form your LLC) someone will need to sign it as the "authorized rep" but whoever is signing that form it is not necessarily the member or manager. With that said, generally speaking, here are your options (without getting into trust options): 1. The most protective approach is to have two LLCs. One is the holding company LLC in WY (which you own). The other LLC is the LLC in the rental property state (which your WY LLC owns as the sole member). That local state LLC owns the rental property. 2. A less protective, but less expensive, option would be to form a WY LLC which owns the rental property directly and registers to do business in the rental property state (assuming that's not WY). 3. The least protective (unless your rental property is in WY, NV or DE) and least expensive approach would be to have an LLC formed in the rental property state. Hi. Bizee can provide you the basic paperwork needed to form and operate your LLC (Articles of Organization, EIN and Form 2553 Tax Election) plus a template Operating Agreement in the standard package. However, it sounds like you want something more custom. The Articles are always a template, but to have a custom Operating Agreement you'll need to hire an attorney. Here is a link to a related company of mine that has a very comprehensive attorney quality (but template) Operating Agreement: www.attorneydrafted.com. However, if you want an Operating Agreement that is more specific to your situation, you should hire an attorney in your state. Thanks for watching and for your question. On the last page before you preview and order the Operating Agreement, you can specify the date of the Operating Agreement. If you failed to do this, and you have already downloaded it and don't want to pay to make changes, then you can always print it out (which you'll need to do when you sign it) and then write in the dates by hand. Hello. Thank you for this very constructive video. I have two questions. If I open a WY LLC that owns my OH LLC (owns/runs all my real estate in Ohio) for the ultimate liability protection as you mentioned; does it mean I have to file taxes for both states even though I conduct no business in WY. If so, do you recommend having a tax expert company that operates in multiple states file my taxes or a local tax expert in Ohio where I do my business?

Hi. Thanks for watching and for your question. Since your LLC was formed before 2024, you have the balance of 2024 (as you know) to file your BOI Report. If you prefer to wait for the outcome of the constitutionality of the CTA, you can of course do that. However, if there is no final determination before the end of 2024, you will need to file by December 31, 2024 to be considered on-time. Thanks for watching my video and for your question. Most entities are not "exempt" (unfortunately). An exception would include a company with 20+ full-time employees and over $5m in revenue. Thank you for your kind words. Note that you don't have to establish an office in Wyoming to open an LLC there, so long as you assign Bizee (or another entity) as registered agent in WY. However, if you want the LLC to have its main office in WY (like I do with one of my LLCs), you can use Bizee's virtual office option (like I do) for $29 per month. With that said, you can use your home address or another address in your home state as the business address for your LLC. It's up to you. Let me know if you have any other questions!
