Thanks, check this What you need to check as well is the InstalledLanguage in registry, it needs to match as well. HKEY_LOCAL_MACHINE\SYSTEM\CurrentControlSet\Control\Nls\Language Change it to the proper code. In my case I needed EN-US , which is 0409. I had there 0809, which is EN-GB , and this was causing me greyed out option to keep the Apps and Data. After changing this + restart, the InPlaceUpgrade started to work.
