Franchise group worthless, Conns loan will lose 40-60% of its value, and Babcock receivables will likely lose value. The balance sheet is ridiculously underwater.

So now that time has passed. American Freight is worth $0. With Conns bankruptcy Buddy’s is probably worth $0. Badcock is worth $0. So only Vitamin and PSP. PSP is 1/4th the size of Petco so prob worth $160-360m in private markets. Vitamin revenue is down 12% so cash flow prob down 30% so prob worth $600-800m. FRG is underwater.

So maybe FRGs assets today are worth $1-1.5B. Thus value for equity holders is $0.

Are you basing the "AF is worth $0" valuation using the FRG franchise document floating around? Or was there some news there? Also, PSP is a franchisor where Petco is not... very different valuation parameters. Not sure how you're triangulating Buddy's valuation either.

@@valuedontlie Didn't bother responding but I was right. Vitamin Shoppe is worthless. PSP is the only asset of value. FRG was run by a fraudster and bought by a fraudster.

I doubt they can serve all the debt due in 2026- also Nomura will have enough soon. Franchise group is basically bust also. BK is priced in 2025 or latest by 2026 based on the option pricing of the underyling $rily stock.

appreciate all the vids you've made on this. what do you make of the FRG Q1 numbers released in that bloomberg article? is a RILY bet basically a bet on amrican freight to recover before 2026 at this point?

I think RILY is definitely positioned as a FY26 bet... 1) biggest chunk of baby bond maturities come in FY26; 2) FRG is a bet on FY26 w/ American Freight turnaround + asset sales; and 3) BW has FY26 baby bond maturities that make it a FY26 bet too!

@@valuedontlie interesting. AF turnaround would be huge for the stock as you point out, but that entire discount home furnishing sector has been crushed and has shown no signs of life it seems. I used to follow FRG as well and Brian Kahn said the thesis there is a recession would create a new class of discount customers. Problem is the recession didnt come and low income got squeezed, so they have no new buyers and their old buyers dont have spare cash. Its hard to see a magical turnaround in 2 years time to be honest, but it'll be interesting to watch it playout.

I listened to part 1 and should have just stopped right there. I made it about 5 minutes into part 2 and just gave up. There is way too much rambling while telling you nothing that you can't read with your own eyes. If you have nothing else to do then this video is fine for you. But if your time is limited, pass on this, as there is just way too much scrolling up and down, going forward then backwards with no organized presentation plan.

So this is probably the most thoughtful analysis I’ve seen on this company. I personally do something very similar to B. Rily, albeit at a much much smaller scale, so I can understand why and how an outsider would be thoroughly confused. Its really a company made of other companies, all of which bring additional complexity and nuance to the parent co. Not to mention the silly, and frankly misleading requirements of GAAP, accounting. But keep in mind, Bryant Riley bought $8 million of common in 2023 at an average price of $40ish. These guys are very clever and have built a 30 year old company on the thesis of buying discarded assets for very little. Of which revenue has grown over 16x in 10 years. There are assets on the balance sheet that are worth FAR more than book value. However, debt has to be displayed at par, so the net is a distortion of debt/equity. The portfolio they own is carrying the bulk of that debt. Plus they have a growing core financial services business. Honestly, I think this thing has huge upside. Accumulating shares sub $20.

Share price dropped almost 6% to ~$20, boosting the dividend yield to 19.78%. Is this a dividend trap, like ORC? Headed for bankruptcy? I gambled 🎰 a couple hundred bucks on it for entertainment purposes.
