In Ontario, you are legally required to file a dissolution of an Ontario-incorporated business if it ceases operations. Unless a formal dissolution is filed, the corporation is considered legally active and therefore liable for any outstanding debts, contracts, taxes, and other obligations. A corporation is only considered dissolved once the Articles of Dissolution have been filed and a Certificate of Dissolution has been issued by the Province of Ontario.
So, how do you dissolve a business in Ontario?
The first step is to confirm that all the taxes are up to date. Once that’s confirmed, you can file the Articles of Dissolution. The Articles are a formal notice stating that business operations are voluntarily ceasing. To file the Articles of Dissolution, you will need pertinent information about your business, such as the corporate name or numbered corporation name, select that the business has no debts or has made accommodations and that all liabilities have been settled, confirmation from shareholders, the name, address, and signature of a single current director, the date of dissolution, and the Company Key if available.
The Company Key is a 9-digit number provided to you when your business was first registered or incorporated in Ontario. But here’s where working with Ontario Business Central makes a difference.
