Thankyou Sir .your videos are extremely useful and informative. I like to open a setup in Vietnam and stay there with my spouse and kid. I am an Importer/exporter and already had great experience with China last 27 years . I have opened a company there 'worked a lot but as you know China's situation now..cant live and work there lifetime. Vietnam seems to be next China. I watched your videos lot and you also emphasised on that. Kindly guide how to setup a company there ..I used to source and import a lot from China and my products are related to TEXTILES .I think should work same here and get products from Vietnam and export to other countries or source products from Vietnam to arrange imports for the importers in other countries..also I like these countries Thailand, Vietnam, Malaysia to spend the life with family. Waiting for your response. I most hopefully visit Vietnam in few days

Hi Khalid, if you don't have any capital. It won't be possible to do business in Vietnam. Especially nowadays you need to invest or find a job FIRST to get the immigration approvals to enter the country.

Hello. I would like to live near my son and his wife's farm. My second grandchild is about to be born, and I'd like to be nearby. I'm thinking I could buy a small farm near theirs. Put it in my daughters name (sons wife). Then I could start a small, (is it called an "Agricultural Items Processing Buisness LLC?") produce shop and sell farm products from the combined farms. between the 2 farms, there would be plenty of fresh organic farm produce, to sustain a small business, with an employee or two. Maybe find out if i can get a farm near the lake. Then, later see if i can have a little Bed & Breakfast built on the farm. Is there a minimum amount a company needs to earn to be able to keep an LLC?

Hi, there is a lot of speculation going on and hundreds of projects. Better to choose carefully the property developer and constructor to be sure the quality will be the one expected. Choosing the right location is also important (following where the city is putting his focus, next to international schools, near by the "under-constructing" metro line to expect growth in your investment. Plenty of share-apartments for expats and locals yep. Will gather someone soon on this subject working in this industry to go in-depth into this subject ;).

Oui j'ai autour de mois des gens qui commencent à rentrer. C'est pas gratuit (il faut en gros avoir l'avocat qui nous met sur la liste 'restreinte' pour bénéficier du visa; entre 400$ - pas de garantie de succès - jusqu'à 3000$ garantie) puis en parallèle lancer les papiers pour lancer la création d'une structure pour bénéficier de la carte temporaire de résidence. En espérant que ça revienne à la normale d'ici peu ...

Hi, I plan to open an IT consulting business in VN. The idea is that I will run the tech development of my startup (based out of Berlin) - from VN. So, I will have the main corporate entity in Berlin, but, want to open another entity in VN (to employ tech talent). I want to be able to 1) hire developers in VN, 2) get a TRC for me to visit there, 3) Keep govt overhead (tax etc) at minimum. I won't be selling anything or making money off of VN market. Is it possible to achieve this by opening RA office?

Great video. Iv just returned to Canada after 2 years in VN. I plan on going back and am just starting the investigative work around Partnering or 100% foreign owned. Can a Representative office designation be changed to either a LLC or Joint Venture later? That would give me the 'year' as you say, to really scope things out, before actually getting the lawyers in to complete the necessary work on the later mentioned businesses. I'm looking at F&B. I'd also like to include training program for disadvantaged youth with in this model. So, even though I'd probably be starting with less than 10 employees I'd also need the advice for employee tax/benefit structure. Again good information in you video. Thank you.

Hello Jodi. F&B has been highly impacted with the recent lockdown. Chaos comes with opportunities ... That's one of the main sectors that should be rebouncing again soon. About your question, it is better to open from scratch a LLC or JV with a local who has experience in the field (a representative will be very limited and you cannot really upgrade the company to match new business sectors or activities you want to do). Hello I am Glynn,My soon to be wife lives nearly ho chi minh she has a small hotel business and it was thinking build on the that adding coffee shop and small food . this would be good start in think because. It would give me something to do as well as be close with the family. I am American with a few more ideas but as you say I want to see how Vietnam works and if my ideas will be suitable. Hello, yes I have friends they manage a media newspaper from Vietnam so guess owning KZbin channel is pretty similar. If you make enough from your sponsorship and donations... Just be aware that it is not cheap as you may get work permit (as I guess your investment in the company won't reach the standards of the investor visa) and you will have personal taxes on your salary.

There are a lot already of place importing Belgium beers (and you can find them with ones made in local breweries). The one I have in mind are Leffe, Chimay and even Maredsous I saw already some bars. So would investigate more before starting. But importing premium products may be a good start yes :)

Hi Mohammed, manufacturing in Vietnam is great yes ! Trade agreement, cheap cost to hire staff and pretty attractive set up to build a factory. Many factories and Chinese businessmen are moving their manufacturing and factories to Vietnam in a view to export in Europe and USA. But importing and selling plywood and wooden furniture won't be smart to do in Vietnam. Plenty of manufacturers already in this industry.

Hi ,I am currently in Vietnam & planning to work as a consultant here..as a sole proprietorship, without any employees etc. Your video didn't mention that option. Isn't that possible in Vietnam? In some other countries in Asia that's usually an option. I have a registered private limited company in another asian country but a representative office seems some paper work.

In that case it would be 100% LLC yes. But the best set-up if you are not a Vietnamese tax resident is to keep your company overseas so you are legally resident somewhere else and you do not need to have PIT (personal income tax) in Vietnam, but this option is obviously if you spend less that 6 months living in Vietnam.

Hi Guill, I'm trained in a form of stress release procedure similar to chiropractics. I was wondering if I would be able to set up a business helping people release stress in the brain and the body. I would be performing the procedure (which consists in a unique movement of the head) on the participants (clients) and would probably just hire one person to help me with interpreting. Do you think this is viable?

It may be viable. Vietnamese people are a lot in those alternative medicine, massage therapist so there may be some opportunity. You will have to show how you are better to other specialist already providing herbal / Chinese / VN similar treatments. So may be competitive. Building an digital agency to provide service to overseas companies may be also a good opportunity if you are able to build a team of skilled people in Vietnam and promote your services as an offshore digital marketing agency. Hello hello Guillaume, j'espère que tout va bien par chez toi ^^ Pour commencer, j'ai fait un voyage il y a deux ans de cela au Vietnam et j'ai vraiment adoré ce pays. À ce moment là je me suis douté que je voudrai y revenir pour un but professionnel. Je suis cuisinier, et depuis peu j'étais en contact avec un employeur. Proche de concrétiser. Cependant cette semaine j'ai décidé de changer radicalement mes objectifs et de developper plutôt mon propre projet. Je souhaiterai ouvrir soit un petit restaurant, soit un food truck (que je favorise car pour le coût et la liberté ça serait plus dans mes moyen je suppose). Niveau finance je me trouve peut être limite. J'ai un ami et ça femme (qui est Vietnamienne) avec qui je pourrai m'associer. Si j'ai bien compris la vidéo, ce qui me correspondrai le mieux serait de créer une Sarl JV (100% au nom de la femme de mon ami). Dans ta vidéo j'apprends également les taxes, les impôts à prendre en compte, mais de plus tu as apporté la solution avec les contables et les avocats qui faciliterai la tâche. J'ai commencé à étudier le business plan (que je decouvre ^^), à m'informer par rapport à mon projet. Mais je dois dire que je découvre tout juste le milieu de la création d'entreprise. Et au vue de la situation je me demande même si je ne devrais pas saisir une opportunité de travailler pour quelqu'un, afin de mieux m'intégrer sur le long therme et finir par développer ma propre entreprise en parallèle, ou alors je continue sur ma lancée de projet. Monter une société locale (détenue par un vietnamien) sera toujours la solution la moins onéreuse et permettant d’être maintenue plus facilement. Tu peux être le directeur et donc obtenir un contrat de travail + TRC. Par contre la femme de ton amie a tous les droits, donc il faut avoir confiance. Si tu dis être limité niveau finance, c'est pas non plus idéal de te lancer dans l'entrepreneuriat car il faut un minimum de cote pour etre à l'aise et ne pas aller droit au casse pipe ! Monter une boite c'est bien, mais trouver des clients, s'entourer, allouer du budget au marketing ... il faut y penser. Hi, trading company is the basics. You can use some third party importers or exporters in Vietnam to be able to get / rely on them for the licensing part.

Au vu de la situation en Europe et de ce que je pense qu'elle va produire en terme économique, j'envisage maintenant assez rapidement de m'expatrier, quand les frontières le permettront. Je ne souhaite pas chercher un travail à l'étranger ni être à la retraite. Je souhaite créer une structure de vente de produits via le web. Aussi, j'ai déterminé 2 pays qui semblent correspondre à mes critères. L'un est le Vietnam. Je ne suis ni riche ni pauvre, mais avec une activité que je maîtrise déjà, la faisabilité est plutôt bonne. Aussi, de quel façon pourrais-tu m'éviter de perdre du temps et de l'argent en ce qui concerne l'expatriation et l'établissement de cette structure.

Bonjour Christian. Monter une société pour supporter votre projet de vente en ligne n'est pas très complexe. Pas besoin de licences si vous vendez à l'étranger. Si votre activité est tournée vers l'étranger (ce que je suppose si vous la réalisez déjà actuellement), je vous conseille de vous tourner vers : * LLC à l'étranger (Hong Kong, Singapour, US) afin de pouvoir accéder à Paypal, Stripe ou bien si vous vendez sur Amazon (à voir si nécessaire selon votre cas) * Bureau de représentation au Vietnam ou bien petite SARL (équivalent limited company) seul ou avec un partenaire vietnamien. Beaucoup de grosses structures étrangères implantées au Vietnam n'ont qu'un bureau de représentation puisqu'ils n'ont pas d'activité de vente au Vietnam. Si elles ont besoin de recruter, elles passent par des sociétés annexes dédié à cela. On continue la discussion par e-mail si vous avez besoin de plus de précisions.

This was a great video!! I have one question. On lots of the websites on the internet they say that in an LLC in Vietnam there are no shares issued. I am curious as to how the ownership is split between owners if there are no shares issued? I am a foreigner working with a Vietnamese business partner.

Hello, when you set up the company you just decide how many % each of the party is having. It can be 50-50%, 80-20%, ... it's a customizable parameter.

If it's purely outsourcing, you should evaluate the LTD (100% foreign owned company) but not the Representative One. The scope of a RO is highly limited and not scalable / customisable for the long term.

Very interesting video. I struggle with these concepts because I have no financial background and it always seems quite complicated due to the exceptions and also due to the fact that most people talking about it online are from the US with different rules and regulations. I have a plan to teach either music or English online, selling online courses as well, not just one on one lessons. What would suit me better, to open an LLC back home (I pay taxes in Sweden, even though I am originally from Portugal) or in Vietnam? In the long term, I would like to open a music school, but for that surely you need a lot of money. :d

If your customers are not necessarily in Vietnam you can have an LLC somewhere (ie. Hong Kong) so you can access to Stripe, Transferwise, Paypal and other tools for your business. Owning a business in Vietnam allows you to invoice customers in VN and also get a 2-year temporary residence card. Then on the personal side, you pay taxes in Vietnam (if you are a tax resident, so if you stay more than 183 days per year, you get a Tax ID in Vietnam) and you don't pay taxes on your income in your home country anymore. That's the general rule, for instance some income from real estate renting overseas may still be taxed in the country your apartments are ...

Le secteur immobilier est en plein boom dans toute l'Asie du Sud Est. Donc venir s'y implanter pour élargir votre portefeuille de clientèle ou même offrir de la variété en matière d'investissement pour vos clients français est une très bonne idée. I'm moving to Vietnam in January and want to import fabric from my supplier in China into Vietnam to make organic clothing (like underwear, shirts, socks, etc) to export into USA as well as to sell locally in Vietnam. I'm vietnamese but born in America. My mom and dad are both vietnamese but only my dad have a vietnamese Citizenship. My dad lives in America about 9 months out of the year. Hello Eduardo, of course but you really need to trust the person you hire and more to control the way the company is managed. If you want to have someone committing to your business, would recommend to give some share of all the key people and interest them on a commission based model. Cheers

Hi Mexx, are you in the construction industry already ? First you should come and check a bit the different locations as there are a lot of restrictions for foreigners. Is it not easy except if you are able to partner to a local company and doing kind of joint venture. Come here, spend at least 6 months, learn about the "ownership" of land through leasing and see how you can get started a project. Cheers

@@Observer168 Because foreigners cannot buy a land in Vietnam. They can only use it for 50 years. You can Goole Land Use Right (“LUR”) for foreign investors in Vietnam. My explanation is that it is common in the construction industry to create joint venture companies if you want to build a condominium or place to rent. Obviously yes you have to choose who you partner with ;)

Hi, either you are 100% owner of the limited company as a foreigner, either you partner with a Vietnamese person. About the costs, it's between 1k$ to 2k$ usually including a work permit and a TRC (temporary residence card) if we take the set-up : one local business investor + one foreigner investor (or employee). Then you would need to have a F&B license if you plan to sell through a restaurant or small coffee.

Yes sure, it is possible. The best is to have a local partner that has already experience in doing F&B as it is the easiest thing people are thinking about while brainstorming about potential ideas, nevertheless that's super competitive so better to partner to avoid pitfalls. You will need different kind of license but as it is very popular in Vietnam, the set-up won't be the most difficult part. For instance the brand Cà Phê MILANO allows franchise for quite a reasonable price (initial $5k investment) to be part of their franchise group and benefit from their well known name. Then as the location is KEY in F&B so better check the ideal neighbourhood and compare the monthly rental costs across the districts.

Hi Sujatha, thanks for your feedback ! As there are not yet specific visas for freelancers. It's either you stay in Vietnam a couple of months only or you get long term visas (for instance up to 1-year renewable) by opening a 100% foreign owned company in Vietnam. The market is dynamic so as a freelancer you can connect to local companies and bring your foreign value to the market.

Hi Guillaume, I think some update is needed. The laws changed and in order to get a TRC, the minimum investment is 3 Billions VND, means 130.000 US$. So, people who believes they can get a TRC with 5000 US$ are wrong, this is old story... This statement has been confirmed by 2 lawyers offices in HCM. Have a nice day.

Hi Serge, yes you are right as since 1st January 2021, the new law is fully applied, it is not possible to get the 2-year TRC package. With this small investment, the best option is getting long term visa of 1 year renewable that can grant the access to the country for foreign investors.
