JP Morgan Investment Banking Task 1 & 2 Part 1 Solutions | Virtual Internship

These are my suggested solutions for Task 1 and 2 of the J.P. Morgan Investment Banking Virtual Internship. J.P. Morgan provides excellent templates and information to work through these tasks which allowed me to really focus on providing a strong analysis rather than spending most of my time on structuring my work.
Overview:
Task 1 is an assessment of M&A Targets based on the strategy of our client WorldWide Brewing that is looking to expand into the Asia market through M&A. When considering potential recommendations for the client the characteristics I searched for were whether or not the business operates in diverse geographies in the APAC region and the diversity of their operations. Other considerations were the strength of financial position and the ownership structure.
Task 2 was performing some analysis on the overview of HappyHour Co. (the company WorldWide Brewing was most interested in). This video covers only the first part of Task 2. The financials section of the slide deck is covered in the next video!

Also, Hipsters' Ale. If the equity is owned by the breweries that manufacture the product, it means that the assets in the Hipsters ale are comprising only the distribution and direct sales. So the company would have to effectively acquire Hipster ale and all the breweries, then reorganizing them (since they lack integration they also exhibit the lowest EBITDA growth to peers) and effectively operating on margins, not expansion. Differently from the second player that also is a margin play but it has scale and it is possible to think of revenue growth synergies.

Hey Arthur, is this helpful for your profile building as a fresher? My internship deal broke down in May this year due to covid and I haven't had any internship in finance domain since then. I am in my final year of graduation and preparing for entrance MBA exams like GMAT and Indian exams like CAT for MBA. So does this virtual certificate hold some value in my profile as a fresher or is it not much useful? and is there any other similar but better alternative to this virtual internship you would wanna recommend? I can tell you only pulled from the notes. Spirit Bay only did well on a surface level, it literally said in the transcript: The growth rate seems pretty attractive. Have they expanded into new markets recently? No they haven’t. In fact, they are 60% owned by a Global Sponsor, and have been undergoing aggressive cost cutting measures to improve their earnings. = a financially distressed company that cost more than happy hour

Yep, agreed but you don't know how much was the growth, just that they have improved margins. That may well be also the result of a transformative process that leads to a more efficient company. Moreover, they are the second largest player after HappyHour, so I'm wondering how it would be possible to be the second best at something and struggling, given the similarity of operating conditions with HappyHour. Bottom line, we can't assume what we don't know and I agree that I would attribute the performance not only to growth but also to margins. I would still recommend showing the company given the fact that significant revenue synergies and cost synergies may be possible. Commenting on distressed condition would require to know about debt, and that we simply don't know.

I would definitely say yes. If you haven't looked at a DCF before, that's the hardest part of the task and it would be a great starting point to learn about it.
