Can a corporation enter into partnership? NO po ba Sir? Nalilito lang po ako, kasi po sa Sec 35 po ng Revised, isa po sa corporate capacity and powers enumerated ay "To enter into a prtnership, joint venture, merger etc...."

Ms. Abby owned 99% of share of stock in Love Corporation. Unfortunately, the said corporation failed to pay its loan in BDO bank in the amount of Php 5 million. Incidentally, Ms. Abby has Php 5 million savings account deposit in BDO bank and the manager withheld the savings account deposit of Ms. Abby on the ground that it shall apply to the loan of Love Corporation. Is the bank manager correct po ba?

No. The bank manager is not correct. The law provides that corporation has distinct and separate personality from its stockholders. Here, Ms. Abby has deposit in the BDO Bank in the amount of Php 5 million. This deposit is the personal money of Ms. Abby. It does not belong to the Love Corporation. Therefore, it cannot be withheld by the bank manager because of the distinct and separate personality of the corporation from its stockholders. The one who contracted loan with the bank is Love Corporation where Ms. Abby is a stockholder. Thus, the one who is liable for the loan of P5 million Pesos is the corporation and not Ms. Abby. Foregoing reasons, it is no correct to apply the personal deposit of Ms. Abby as payment for the loan of the Love Corporation. Therefore, the bank manager is not correct.
