there is a QUESTION relating to part discussed at 15:35, you said 2 things about convertible warrants, viz., 1. They are either converted into equity shares Or cancelled. 2. They're always compulsorily convertible into Equity Shares. MY DOUBT is if they are Always compulsorily convertible, then In which situation they are cancelled ?????? [Does cancellation situation refers to Buy-back and Reduction of Share Capital???]
@BestCSclassesinIndia3 жыл бұрын
Dear Vishal ... as per SEBI ICDR Regulations, - warrants shall be converted into equity shares within max 18 months from the date of allotment of warrant, and if warrant-holder does not pay the amount for conversion of warrant in to equity shares, then the issuer company forfeits/cancels the warrants and forfeits any money that was paid earlier at the time of allotment of warrant.

Sir as regulation 6 of LODR SAYS every listed co. Shall have cs so prior to amendment any pvt co. Having its ncd listed also requires to appoint cs in employment .

@@BestCSclassesinIndia Agree with you sir...but at present LODR and Companies Act both are conflicting each other... So as now Companies Act has been amendment SEBI should amend LODR to bring uniformity ..right sir??
