If the foreign-owned LLC is not taxed because it doesn't have any physical presence and all the work is carried out of US and if the non-resident owners have ITIN, and they receive salary from the LLC, do foreign owners have to pay tax in the US or just have to file their income? When I filled it out to simulate it appeared to me that I have to fill out 9 forms (1040-NR, B-1 1065, 8804, W8 ECI, 1065, K-1 1065, 8805, WYO-056, and annual report). You mentioned in the video that the forms that had to be filled out were the annual report and forms 5472 and 1120. Can you explain? Thank you 😊

Let's say an LLC registered in Wyoming entitled Xaax LLC has three SaaS products (Saas A, B, and C), and an investor wants to invest in SaaS A... so the founder has decided to pull SaaS A out of XaaX LLC and form SaaS A, Inc as a C-corp in Delaware. What is the feasible method? And how to run multiple products company?

One feasible method for pulling out SaaS A from Xaax LLC and forming SaaS A, Inc as a C-corp in Delaware is through a statutory conversion. This method allows you to transfer the LLC’s assets and liabilities to a C corp without having to dissolve the LLC altogether. The LLC’s former members become corporate shareholders. It's important to note that it is a bit more legally complicated (as it involves creating a merger plan, etc) when it is time to incorporate Delaware C-corp. You could probably start off normally as a Wyoming LLC and later when it is time to convert, take additional legal help (StartGlobal can help with both)

In that case, you may not have to pay any income taxes or sales taxes. You may have to pay some yearly state fees (sometimes called as state franchise taxes) just to keep the LLC in good standing

AND does not hold inventory (or production processes) on US soil Then your company does not have to pay federal taxes nor US income taxes should apply to you. @@R1vkei1 I’m guessing that by private online store you mean Shopify/3rd-party stores that are not part of e-com marketplaces. If so, then yes, AFAIK, these (assuming the previous conditions mentioned) are not considered US entities. However, if you’re planning to do Amazon FBA then things might be different. It’s a bit of a gray area since if your business is considered to be highly active specifically in US economy, then it might be subject to US taxes. I know that Amazon enforces pretty strict application rules and tax filing, so your best bet here is checking Amazon’s FBA application requirements AND consulting a professional. I’m just a random online person who might not know what they’re talking about.

Yes, as you'd own physical assets in the country, you mostly would have to pay US income taxes. There will be federal income taxes no matter the state where you form your LLC.

Annual income. Taxes have to be paid quarterly if you have to pay more than $1000/year as taxes. Otherwise annually. Yes, there are reports to be filed even if you have no US income. They are mandatory and come with huge fines, if not filed.

From a federal income tax point of view, it is not taxable. However, certain states consider it as a 'product' and thereby imposing sales tax on digital products. (I know it isn't sorta fair, but it is what it is). And to trigger sales tax in a state, one has to cross a minimum threshold in that state. So as long as you stay under that threshold, you needn't pay sales tax either.

Most likely it will be taxed since an LLC is a disregarded entity and therefore from a tax point of view, it's a foreign company buying the stocks. Therefore the stock broker would most likely deduct 30% taxes (dividends is FDAP income).

It largely depends on how the money is earned. If the income is US sourced, then you would have to pay US taxes whether the money is transferred out of the LLC account or not. If the taxes are already paid (or you have decided that you'd pay), then just moving around money between accounts won't result in additional taxes in the US. We wouldn't be able to help you out on taxes on countries other than US.

If the freelancer is providing personal services (e.g, consulting, software dev, designing) from abroad without any US dependent agent(exclusive contractor, full-time employee, etc), then the income is NOT considered to be foreign sourced. Hence federal income tax won't apply

I suggest Wyoming for non-residents as it provides a lot of online privacy and the processing time is much faster than Delaware. If the services are provided from outside US, then there won't be any federal income tax and most other taxes.

This is a much more detailed explanation I've come across. I have a couple of questions that would your help to clarify: 1. Can an LLC formed in Wyoming be used for different kinds of business? I've planned to do ecommerce (dropshipping) but also want to scale it into a digital agency sometime later. 2. If the dropshipper is based in the US and sends products to US customers, will this still be taxable for an LLC formed in Wyoming (since it is considered US-sourced)? 3. For the state sales tax, this will be based on the state of the customers I'm selling to, right? That means I'll have to keep track of all US-based customers to see whether it exceeds the threshold of individual state my customers base in?

Such incomes are generally considered as FDAP incomes which will be taxed at 30% for non-US residents by default. This tax will be normally withheld by your US broker. If your country has a tax treaty with US, the tax rate will be reduced.

Just be aware that creating a US LLC comes with administrative/financial/legal responsibilities. Definitely look up how much it costs to get an accountant to do your LLC tax return. US LLC's have significant advantages, but they are not for every person in every financial situation. (In the country I am resident in, most people consider it not advantageous to have a US LLC. But of course everyone's circumstances are different)

A feedback and a question In the place where it asks for income, please mention of its annual and currency symbol to avoid confusion for non us residents. I am from India and planning to register an US business remotely. It's going to be App members memberships fee based income (is that taxable?) and no physical person there. Thanks for the feedback. Duly noted. Regarding your app membership fee based income: generally speaking, access to apps and SaaS are considered as a royalty by IRS. Think of it like this: Developers make a software and they grant their users *license* to access their software for a fee. So, they are essentially charging a royalty. And royalties are considered as FDAP incomes (considered kinda like a passive income like rents, dividends, etc). FDAP incomes are US-sourced income even if you have no physical location or a person located in the US. It is because in this case, they look at the place where the customer is located and not where the app is built. Therefore app membership incomes are generally US-sourced. Because India has a tax treaty with the US, all the ECI incomes(like salary, income from e-commerce, etc) are 100% tax-exempt. But royalties are an FDAP income (not ECI income). So, they are taxed usually at 30%, but because of the tax treaty, you'll have a reduced rate of 15%. Regarding New Mexico or Wyoming: I'd generally prefer Wyoming due to its quick processing time and privacy provisions. BTW, consider this only as general information, and not financial/tax advice. Apart from the one time first year payment plan I see 3 other plans, compliance, state and federal tax plans. I would contact you during the tax time as you have a clear understanding compared to many other service providers.👍

@startglobalhq so just to be clear; if I'm a non resident and I open a single member LLC in Wyoming and my home country also has a 100% tax free treaty with the US, I won't have to pay the Personal Income taxes of 15.3%?

If your business is something like a software agency, marketing/design agency or anything where it is not considered a US-sourced income, then you won't have to pay any US income taxes :)
