You're welcome Sindy! This new LLC of yours would be a Multi-Member LLC. By default, Multi-Member LLCs are taxed like a Partnership. That means, the LLC files a 1065 Partnership Return each year. This shows the IRS how much money was made (and expenses, credits, and deductions) and then it also shows how much all of the Members made. That amount "pass through" to each Member's personal tax return and it's your/their responsibility to report that on your personal tax return; the 1040. Hope that helps!

Hi Dmax, a PO box address doesn't provide or limit any liability protection offered by an LLC. For example, if your LLC is used to operate a business and your business is sued, generally speaking, your personal assets would be protected. That would include your home and anything else you own.

You're welcome. That video is really for Americans, but we didn't do a good job letting that be known. As a non-US resident, you can form an LLC in any state you'd like if you're going to operate the business from outside the US. If you'll have an office, repeated physical activities, or employees, you'll want to look at forming an LLC where those activities take place (that's where the LLC will be "transacting business"). We have LLC guides for every state here: www.llcuniversity.com/50-state-llc-guides/. How you form an LLC is just like a US person. However, how you get an EIN Number (Federal Tax ID Number) and open a bank account are different. LLCs are usually rejected for two main reasons. The name is already taken, or you left something blank. So most of the time, filings are approved. The states aren't trying to make it difficult to form LLCs.

If I understand correctly, the benefits of creating an LLC is to protect personal assets but then my question is. Someone can also sue you the individual right? and then your assets are on the line. So the whole thing is if someone sues your company, your company assets are on the line and if someone sues you personally your personal assets are on the line. The advantage I am seeing here is you dont have all your eggs in one basket. Am I correct on this? Is there a way to protect your personal assets as well so that someone doesnt get access to it?

Hi Dezo, you are correct. The best way for what is sometimes called "inside" protection and "outside" protection is to meet with an asset protection attorney. There are numerous strategies and ways to set things up and it depends on the state you're in, whether you're married, and lots more. Hope that helps.

Hey Jeannette, I'm glad you found us before you went too far lol! So many people screw this up because they are misinformed (a lot of poor websites out there!)... You don't need to "change/convert" anything. There isn't an official "Sole Proprietorship to LLC" conversion. You just cancel the Sole Proprietorship EIN (instructions here: llcuniversity.com/cancel-ein) and then form an LLC. Once the LLC is approved, get a new EIN and just start operating as the LLC. Also, you do not need to file for an assumed name (another mistake often made when forming an LLC). You'll just do business under the full name of the LLC. I also just saw the email you sent us. I replied with a link to our free Texas LLC course. Hopefully this reply is helpful! Let me know if you need anything else.

If I already formed a LLC, namely a company, but also want to form a design studio under the company to provide architectural design service, do I need to register another LLC just for this design studio, or can I use the LLC I already formed for tax purpose, but register a Service Mark or something to that effect for the studio so nobody else can steal its name?

Hi Alexis, if you've already submitted an EIN without forming an LLC, that EIN is for you personally, as a Sole Proprietorship. Forming an LLC keeps your business assets and personal assets separate, therefore protecting your personal assets if your business were sued. Yes, you most likely need a seller's permit in AL. Hello! I'm currently a student, and I plan to create a business as a freelance illustrator and want to hire a couple of other artists to create a graphic novel, but I have a couple of questions. Firstly, is an LLC a good idea for a personal freelance business? I would eventually like to create a studio for producing and printing graphic novels but not for several (5+) years down the line. I want to create contracts for the artists I hire. If, for whatever reason, the project gets disbanded and suing becomes a reality (whether from the artists or other entities), what are the kinds of things I can protect in my LLC regarding my business ideas? I understand that physical assets like real estate will be protected, but what about things like trademarks, copyrights, etc.?

Hey! LLCs are very common and popular for freelance business and that's the entity I'd use. If the LLC owns trademarks and other intellectual property, because they are owned by the LLC, they could theoretically be at risk during a lawsuit. What larger companies sometimes do is setup 2 companies. One is the operation company (owns no IP) and the other it the IP company (has no operations, no contractors/employees, etc. It just owns IP). Then the IP company licenses the IP to the operations company. Might be overkill for what you need, but it could be done with 2 LLCs and a simple licensing agreements (and monthly, quarterly, or annual payments made). Hope that helps.

A single-member LLC is taxed on profit earned, regardless if it's distributed or not. Just an FYI. A multi-member LLC will be taxed the same way (unless it elects to be taxed as an S-Corp or C-Corp). If your wife isn't an actual member/owner of the business, then no, you don't need to add her. What state are you and your LLC in?

A single member LLC that elected to be a disregarded entity (a default election) would only pay tax based on the tax status of the owner. Since the owner is not physically present in the US and is providing services remotely there would be no income effectively connected to the US. That means the LLC would owe no US tax, except for the annual registration fee in the state of LLC registration, and there would be no US federal tax obligation (in other words there is no requirement to file income tax either).

Hello, yes, the tax responsibility of a Single-Member LLC (disregarded) falls on the the owner. The definition of effectively connected is complicated. It's not a simple yes/no answer. It depends on many factors. It is best practice to speak with a few different accountants who work with non-US residents. Check out GW Carter, Ltd. in Minnesota. You'll also want to look at the tax treaty between the US and your country of residence. Even if you don't have to file a US federal return, you still need to file Form 5472 + Form 1120 (used as cover sheet)... they are informational returns. It's not so much that "they will know". It's if you are audited, then they will discover write offs that are not allowed. Also during an audit, you are under the penalty of perjury. So if you lie, there can be serious consequences. Either way, if audited, you'll likely lose those write offs and owe taxes, in addition to fines and penalties. From your perspective, a business expense should be a legitimate business express. Personal expenses should be kept separate. Hope that helps.

Hi Nicholas, you can if you'd like, but it's not a requirement. If you feel there is liability exposure, it may be something to consider. If you do, you'll want to make sure your contractual relationship is between your LLC and the pool service business. Hope that helps.

Yes, you can. Tip: If you're getting a mortgage, there is more work to do to find a lender will lend to the LLC. And rates might be slightly higher.

Hey Diamond, good question. Explaining intangible things can be a bit tricky, but hope this helps... Rather than thinking of a business as "one thing", think of a business as a collection of activities carried out with the purpose to earn a profit. On the other hand, an LLC is "one thing", it's a legal entity. This legal entity can be used to run a business or it can be used to hold assets (like real estate, boats, cars, etc.). So an LLC doesn't have to run a business, but it certainly can, and most business owners do choose to setup an LLC to run their business (for personal liability protection). Just saw your edited question. No, an LLC is not a business license. A license is the right to do an activity which is regulated. So if you form an LLC, you would do that first, wait for your LLC to be approved, then get a business license for your LLC, if the industry you work in requires it. On the other hand, if you don't form an LLC and you operate as a Sole Proprietorship, the business license would be granted to your personally instead of your LLC. A non-profit is typically a non-profit corporation. Some state do have low-profit LLCs though.

LLCs are not often used for this purpose. Plus, an LLC can't get non-profit/tax exempt status from the IRS unless the LLC is already owned by a tax-exempt entity. Hope that helps.

Yes, you can use an LLC for your business. And the LLC can pay you via a check or direct deposit (or any other means). In a Single-Member LLC, that payment is called a "draw". Hope that helps.
