Liabilities of auditor :- 1.Civil liability - Due to negligence - Due to misfeasance 2. Liabilities under companies act (I) liability for misstatement in prospectus (II) Criminal liability - untrue statement authorisation in prospectus - non compliance by auditor ( negligence to make & sign report, authorisation of documents) - failure to assist investigation - failure to assist prosecution of guilty officers - return of property, books of account -penalty for falsication of books 3. Criminal liability under indian penal code 4.liability for professional misconduct 5.liabilty toward third party ( creditors, tax authorities, bankers etc.) - liability for negligence (only if sign contract) - liability for fraud ( whether sign or not if the third party proved that auditor is not honest)
