Agree, completely unethical. Rather I would term it as daylight robbery. I hope institutional shareholders, media and regulators force promoter to get the separated business evaluated by independent agency and compensate shareholders through shares in new company or make an open sale of the demerged part

I agree with your POV Sahil. Though I HOLD MORE THAN 5% of my portfolio this is a clear red flag. In Q2 call itself.they have mentioned investment of more than 5 cr in this year to.further B2C. When Rohan was aware that he want a.seperate B2C why was that amount invested?

Intent was not to hit margin of mmi so no subdiary company established as b2c. But i think demerger would have been correct decision. Also they should have charged royalty to b2c company eveb though they would be getting free data from b2c. Really disappointing development. But i have purchased few in recent fall and still in overall profit. Will make more strategic buying below 1500 level if share price allows. Even though this deciosion seems to be taken a hurry and could have handled it better keeping minority shareholders goodwill in consideration, i think promoter will be highly eager to let sellers know that they had taken wrong decision.

Mr Sahil This is a classic case where high growth unique company with negligible debt, started 30 years before, multibagger potential, strong promoters expertise lose shareholders confidence within short span of time after listing because of unethical and wrong doing of promoters. Creation is very difficult but destruction is easy.

Hey Sahil, i liked your opinion Here i have few concerns (may be my view is wrong) Rohan Verma is holding less than 1% stake in from last 3 yrs in MAP MY INDIA. May be his salary is high at that time. when he separated from map my India, He may need to sacrifice his salary till new co reached to expected growth. It seems like purely unethical but why SEBI doesn't questioned? resigning of a CEO is purely his personal but getting 90% stake in that new company which was formed with MAP MY INDIA money, is purely fund divesting right? This is my doubt only. if possible try to explain about salary of Mr. Rohan Verma before and after resignation from Map My India...

Is there a regulatory platform to let the authorities know our grievance against this change? Even if we own a minuscule percentage of shares in the company, these decisions should not be pushed just because promoters and their friends hold most of the shares, the regulatory bodies should act and stop them. These decisions are against the philosophy of investment by Mr. Buffet that buying equity in the company should be like owning the company and the other notion that it is better to buy a share where the promoter has a higher share in the company as it shows their conviction in the company.

Can't agree more, best long term bets are based on management quality and values, the value part is not compromised here, clearly the spin off is to benefit his personal interests with 90% holding else they could have simply floated a subsidiary to the parent firm and son could have been the CEO, I'll exit once stock climbs up a bit, not a long term bet for me now..
