Indian penal code m jo restricted provisions h unko agar kr diya jata h toh criminal liability arise ho jati h... ∆ Civil liability - civil rights ke violation se arise liability civil liability hoti h .. kisi ke against wrongful act kr dene se use jo losses hotey h... Un ke compensation tk aapki liability hoti h.

on the cover page of prospectus of a company a statement was printed in bold letters stating that the managing agent promotors and directors with theri freind and relatives have promised to subscribe shares worth rupees ten lakhs. however they collectively subscribed shares worth rupees six lakh only . can the prospectus of the company be considered as misleading?
