ESOP stands for Employee, Stock, Ownership, Program. The name implies employee's own stock. However, they do not own stock. Employee is beneficiary of the trust which is the legal shareholder. ESOP owns company stock, not the employee. Many S-corporations have ESOPs and S-Corporation by law can have only 100 owners. These companies have thousands and and sometimes tens of thousands of employees none of which are actually stockowners.

Thank you for explaining the ESOP shares!! My question is: Is it worth for an employee paying a large amount for ESOP shares or not? Do I understand correctly that you can only sell the ESOP shares or benefit from them when the company is resold? I would be grateful for your feedback!

esop is a qualified retirement plan..there you go...it's basically a 401k LOL....bummer
