The most important condition Is holding of 90 % shares to apply for remaining 10 % under 236, the courts have in exceptional cases rejected the application of majority otherwise in most of the cases they are approved. Further it is on the tribunal to decide the mandate, NCLT can make it mandatory for the minorities to sell their shares as in most of the cases.

235 is for Acquirer​ being a Co' Whereas 236 is for Individual acquiring 90% and for remaining 10, you would need to follow 236. Basically for 236 you don't need to go through an Agreement route, jst like SAST requires Open Offer on touching 25, here 236 requires "Intention to Buy" the rmng 10%.
