I've looked up NCI definition, and each one has different definitions of shareholder's ownership %. Some say Less than 50%, some say more than 50% but less than 100% (like this one), and some say Less than 100%. THose are all very different !!!

I think goodwill is what you're paying in excess of the fairvalue and NOT the difference between the fairvalue and the bookvalue
