Hi Christine Joy. Obligation with a Penal Clause refers to the obligation stipulated in the contract imposing a penalty to the breaching party or the party-at-fault. The creditor may enforce the penalty whether he suffered or not. Contravention of the tenor of the obligation, on the other hand, refers to the act itself of the party who is at fault and who violated the terms of the agreement in the contract. This is also known as breach of contract.

@@christinejoyarines5313 Both are sources of liability for damages of a party in an obligation under Article 1170. In incidental fraud, there is an INTENT TO EVADE the normal fulfillment of the obligation and to cause damage. Intention to evade or malice must be shown. On the other hand, INTENT to EVADE the performance of an obligation is NOT a NECESSARY element in the "contravention of the terms of the obligation" as long there is violation of the terms and conditions stipulated in the obligation.

Hi Emy. Both parties may benefit from an obligation with a penal clause because in case of breach of contract, the injured party may enforce his right against the breaching party in a court of law.
