@@alainportant6412 there is nothing typical about rape or any physical abuse. And I recommend talking to a lawyer or the police if an assault has occurred. There is no NDA that would hold up in an assault case. The authorities would question why it wasn’t reported earlier. But forcing someone to sign a document after an assault, is just another form of abuse and manipulation.

I genuinely believe you are asking for someone that is confused and potentially hurt in a bad situation. My advice is don't sign anything and seek help from authorities. I just received an NDA for a legit project and laughed at it and told them sorry I’m not signing that. I’d be basically homeless if they decided I said something they didn’t deem acceptable. By the time I fought it in courts I’d still be homeless anyways. No thank you. Great video.

I agree, never sign a document that asks for TOO MUCH! I am surprised how many people don't actually read the NDA's thoroughly. They are 100% written to protect the company/people that it is coming from. I always strike out clauses in NDA's or other documents that I do not agree with and amend them to where I am willing to have the boundary. Thanks for watching and the comment!

I left my 9 to 5 job and got into a creative field because I wanted to be able to display a body of work that I could be proud of. If I'm bound by an agreement to not do that, there is no point for me to take on that work. It's not all about the paycheque.

These are annoying. I had to sign this before an internship interview. Of course, my family couldn't know anything about it. Not even my location. Not the work I do, etc. So it caused them a bunch of distress. I did not continue with the company.

Do you have any thoughts to share about the choices, process and risks involved with intentionally _breaching_ an NDA with non commercial and/or non disclose of IP intent? Ie., a whistleblower scenario - someone considering disclosing abusive, fraudlent or highly unethical practices, potential criminality, antitrust violations and such things ... (?)

Wow, that's a really good question. Leading to many more questions. That I would book time with a lawyer at that point. There is a right way to do it, it can be done, but legal advice is needed. Having good cause, and there are whistleblower laws, so it would be best to check with legal experts in your area. I personally haven't had a situation like that, but if it did I would talk to a lawyer that deals with Contract law and is knowledgeable with Whistleblower scenarios. That's where I would start.

If the NDA duration is set to be 3 years, and I resign from that company what does this mean exactly? Does it mean I am not allowed to work in any company of the same nature or simply that I am not allowed to share confidential information?

This is way late but I hope it helps you or others. What you're referring to is more in tune with a Non-Compete Agreement (NCA). NDA is more for protecting confidential information. NCA is more for making you avoid similar work that may be deemed "competitors" to who you signed the NCA with. I hope that makes sense and please do your own due diligence and research for clarification :)

well i mean if you're working as a beta tester for a company of music software an NDA is inevitable and even if they don't supply an NDA us beta testers treat it as if we did sign one.

As someone working as game artist. I have a policy to always ask because people don’t won’t the public to see identifiable assets. But also. If there is no NDA but we agree that I will not share cool beans I will not share with the public.

Thank you sir, question, if an employee resigned and got a job with a competitor, can his current company force him to sign an NDA after his resignation, which could conflict with his new duties?

To clarify, when you say current company are you referring to the company he is leaving or the new one? If it's the one he is leaving, he doesn't need to sign anything, if he hadn't signed up to that point it is the company's responsibility to have done that from the beginning. NDA's are mutual agreements Party A won't disclose info from Party B. This is typically done before any engagement of services are done. He has all the leverage in this scenario, and he can ask to be compensated if affects his duties at the new job. Now, to be clear, this does not mean he can freely share info from the previous company to the new company, legal action can still be taken if the previous employer feels their intellectual property is being taken. It becomes hard to prove and even harder to say that the employee shouldn't have shared it. But if it was found that documents were shared, emails, project plans, anything directly from the company, legal action can be taken. I personally wouldn't sign anything after resignation, unless there was incentive (financial) to do so. But I also wouldn't actively share actual documents with the competitor, and be careful how you reverse engineer processes. If the situation is more complex than just working for a competitor, I would seek advice from a lawyer. Thanks for the question!

Hi, Rafael! I have a question for you and i really want to know what u think about it. I had a youtube channel with over 197k subscribers, where i made vlogs and skits and reached almost 30m views. The problem is that someone who i know in real life helped me to make the channel a brand account, but he put himself the primary owner of my channel. i didnt knew what it actually mean at that time and when i realised he refused to return it back to me, and KZbin has done nothing since he was the primary owner from begging and was not proofs of hijaking. Now he said that he will return it to me for a specific amount of money and he want me to sign an nda. But how do i know that he wont post something in my name and then saying that i violated the nda? It is posible to make, for example, a page on facebook with my name and then calling me at the Court? thank you!

That is a pretty shitty place to be. It all depends on what the NDA states - And in your example he would have to prove you own that other page or channel where the thing has been posted. And I would make sure the NDA states that whatever only applies to the main channel, and it only valid for 2 years not in perpetuity. If they want it for every then you should request to pay less for it. If it is really important to you to get this channel, talk to a media lawyer. Protect yourself, don't assume anything in this scenario. Or just start a new channel, Spend the money setting up a new channel that you fully own. You won't have to sign any NDA, there will be no restrictions. Make sure you don't sign anything that gives away your rights to your videos either. They are technically your creative works as well. That's the only way to be sure. I know that sounds like the worst case scenario, but if you did it once you can do it again. Circle back when it's all sorted, I'd love to know how it goes.

That's part of the process, make sure you read the NDA and are comfortable with what they are asking you to sign. Asking them to remove a section or reword it is within the norm of the negotiations. They can say no, but if you don't ask then it's always no. Thanks for watching and the comment!

Assuming the RE stands for Real Estate, it depends on what they are asking you not to disclose, and what it prevents you from doing outside of the direct business interaction you have with them. As long as it doesn't impede your ability to work with others (that aren't direct competition), if it does I would be asking for more money. Talk to a contract lawyer if the requests seem too restrictive for your liking. Thanks for the question!

Definitely read the nda first. If there isn’t anything restricting outside of not talking about the project then that is worth it. If there isn't anything in the NDA that explicitly says you can't post after it's public you should be good. As long as you don't reveal anything that is outside of the final posted piece like BTS and the such. But I highly recommend you straight up asking "After this piece is public and live for a few weeks, may I use portions of it in my portfolio?" That is the best course of action, ask the decision maker, and ask it through email that way you have a record of that acknowledgement. Also let them know that if they feel you've shown too much you will gladly take it down. If they say no then that is their right. Ask and you'll know for sure before signing what you are getting into. Hope this helps. Thanks for watching and the comment!

Yes of course. It helps build trust between you and the prototyper. And it's not always about stealing your idea, it's more about not sharing it with others who you do not intend to share it with. Typically I do something that they are not allowed to share it or talk about it with anyone that has not been approved by you for at least 1 year. Thanks for watching and the comment!
