There is a valid contract between parties. One party performs its part of contract. The other party refuses to perform its part. The party which has performed its part compel the non-performing party using criminal act to perform the part. Will such criminal act lead to termination of contract between the parties? With all due respect sir. The example you gave for Quantum Meruit seems to be wrong. How can the person who made the breach claim money under quantum meruit. Under Quantum Meruit only the Injured party can claim compensation. Could you please clarify ?

It seems, damages clause is there only to compensate plaintiff the actual loss as suffered and in no way plaintiff can expect a windfall gain due to lapse of defendant..Liquidated damages therefore, can not thus be set to an unreasonable figure..
