It appears that there was some tardiness on notification of when Elon's holdings in Twitter exceeded the threshold that required disclosure. Any restitution for this seems to belong to the parties that sold heir shares in the open market but that seems like an impossible task to link them so I assume the $150M will be treated as a fine payable to the SEC, is that correct? Also, the lying from the former Twitter board, that also seems like improper behaviour that needs to be addressed as well. What are the related statutes of limitations involved for each type of offence referenced here?

Your argument is entirely flawed. Elon chose not to undertake due diligence. So they did not defraud him. The disclosure of user numbers are not legal numbers. They are voluntary. Further, Elon knew there were bots at the time of his purchase. So he paid what he paid in knowledge of the user reporting issue. You don’t understand the law at all.

@@BongoWongoOG that’s fair enough but the thing is that this suit relates to the late filing of a substantial shareholder form. He filed it late. He was able to buy shares cheaper in the 10 days that he didn’t file. So he has a liability. It is that simple. All this other stuff around Twitter user numbers is just rubbish. The law is the law. He filed late. He derived a benefit. Case closed.

Yup! And also, one misdeed does not justify another. Or to put it more clearly, if Twitter had inflated numbers and stock, that does not give a free pass on what Elon did. We would get nowhere really fast if that would've been the case.
