Hey Dean, I'm preparing for the Series 65 exam and have been enjoying your playlist for the exam. You know your stuff and do a great job of explaining things. I want to ask you for some advice on if I should be aiming to take some of the other exams you give lectures on. I'm 26 and have been investing and learning about stocks, options and real estate investing the last 3.5 years. The reason I'm taking the 65 exam is so I can charge a management fee after I start a hedge fund. While watching one of your other videos where you mentioned other professions that benefit from getting the investment advisor representative license I found out this is also applicable to my primary occupation as a civil engineer. In a year I will have earned my PE and will be going back to college to get a geomatics degree so I can become a registered professional surveyor. My firm I work for is small and primarily does work for land developers. One of our clients paid $45 million for some interstate ramps going to his development and is getting paid back with sales tax later. Another project he established a special tax district to help pay for infrastructure. He also gets 3% of sales from the revenue of commercial businesses in that development, but I think that was just an agreement with the restaurants he sold property to. I'd like to learn more about financing public works projects with bonds and how I can incorporate this into my career. Do you think an MBA would be worth getting while going back to college? I'm going to the University of Florida fall of 2022. I want to help homebuilders, developers, contractors, towns, cities and states plan how to finance their upcoming projects. Appreciate all your help!

In regards to the example that you used for firm commitment underwriting with Morgan Stanley acting in a dealer capacity for Facebook (41:00), would Morgan Stanley be satisfied if they did not sell all of the Facebook stock (and buy the remaining unsold shares) if they believe that Facebook stock has a high chance to appreciate in value?

hey, me again your videos are amazing. you say things repeatively verbatim so I know you are teaching legit knowledge about this. conceptual question: you say that the selling concession is the largest component of a spread. would it be more specific to say that the underwriter's concession is the the selling concession that receives the most return on the spread?

I don't know. Usually it is a muni spread on the test. It is what is the largest component or what is the largest INDIVIDUAL component of the spread. Largest=total takedown. Largest INDIVIDUAL = selling concession

Dean, at 1:00:33, if Edward Jones is the selling group through BAML shouldn't they get the stock at $9.50 and BAML gets both the management fee and the syndicate concession fee?

For shelf registrations, a prospectus needs to be distributed every time you would do it in the 2/3 year period, correct? Even if you distributed it when you did an IPO?

For test purposes, yes. The issuer would not be using a shelf registration for an IPO. An issuer takes down shares from its shelf registration for shares it issues after its IPO.

@@Series7Guru Oh so shelf is just for APOs? Let's say corporation X is issuing an IPO. They cannot use shelf? On the other hand, let's say corporation Y is already public and doing an APO. They can do shelf? The main question for test purposes I have is whether a prospectus is needed for shelf because I remember seeing that in my study materials.

@@mihirsaudagar1798 yes. The answer is yes if the shelf registration is used to sell additional securities to the public (a follow on or additional public offering) the answer is yes. That is not what is testable. What is testable is that shelf is good for 2 or 3 years. 3 years for a WKSI.
