Can you form a business in state without income tax, to provide your personal expertise/ services for a fee to another business you own in a state with income tax, and pay yourself a wage from your non income tax state company to avoid state income tax. Assuming that the service you provide is a legitimate need/service that your company requires within the taxed state ?

Great video's and Thank you. My question to you is, My business is STRICTLY e-Commerce so when you say register where your company is "Physically" located is a bit difficult for me. My office is anywhere there's a Phone/Laptop signal. So would registering in Delaware be ANY benefit to me? I carry NO stock/supplies of any sorts, people order from my site and my supplier dropships direct. Perhaps a video based on E-Commerce? :)

Great video OMG. I've binged watch all your videos. What is the scenario for a US-Citizen living in a non-Delaware state but has a Delaware LLC, and operates a foreign "LLC" in a foreign country. Do you still need to pay or file any taxes in Delaware as well as the non-Delaware state you currently reside in? keep in mind that the foreign country where the business is operating will also incur local taxes.

Thank you very much for this video! I learned a lot. I do have one question, hopefully you see it. What if the business that registers in Delaware is an online multivendor store that sells digital products. This website sells around the world, buyers and sellers from the store will be from different states and countries. I recently learned how sales tax would work in this case, but would the company need to register as foreign LLC in every single state? No tangible products will be involved ever. And, same question but if the single owner of that LLC lives in New York for example? Thanks a lot again for this video! 😁

Ok quick question what about holding companies? It’s a little different then a small business registering in two states. For example: Business A is located in Florida and is the operating company. business B is located in Delaware and is the holding company that owns business A and all its assets. Would the holding company be able to take advantage of Delaware laws?

For MOST small businesses (online or otherwise) it only makes sense to form in Delaware if you are actually living in Delaware.

I'm in California, and there is an annual fee of $800 for franchise fee that I have to pay, is there a similar fee in Delaware, NV and WY? if not, wouldn't it be better, more cost effective to file llc in Delaware? Even if you have to pay taxes in two different states? (FYI, I am a very small company).

I have an e-commerce business, and operate make my income primarily from Affiliate marketing through video and website links. I do not hold or sell any physical products, and I do not receive money for those products directly from the consumer. I live in Pennsylvania. In addition to potential tax breaks, I am having problems selling photography supplies (ex. B&H) because they do not accept affiliates from Pennsylvania due to the Nexus Tax (which I don't fully understand). My parents have a home in Delaware. Would it be legal and beneficial to post their address as my business address? Thank you!

Depends on where you're going to be located, I suppose. I don't know all of the laws of all the countries but I'd assume some have similar foreign entity requirements.

You don’t need an address in Delaware to form a business there. But if you’re not located in DE then there’s likely no good reason to form there in the first place.

I live in NY and my business partner lives in Cali. We plan on doing business in California. Short term rental type Business. And we were stuck on the LLC part of the business. A lot of people we've talked to mentioned forming their LLC's in Delaware.

Anyway, I was wondering if you could answer a question for me? I have 2 separate yet pretty recognized logos for my apparel business. I've been using them for a couple years now (One longer than the other) One of them is a monogram type logo and the other is a written out word logo. The thing is I've never used them together as one.. I was wondering if I'd be able to include them both in the same trademark? Like with the monogram on top and the word beneath? i'm just worried that because I've never used them together on like a shirt or anything I won't have the proof needed..
