Yum! Brands is the world's fast-food conglomerate of the century. Here's how they did it.
Yum! Brands (formerly Tricon Global Restaurants) is an American fast-food company. Yum operates the licensed brands Taco Bell, KFC, Pizza Hut, and WingStreet worldwide.
KFC was founded by Colonel Harland Sanders, an entrepreneur who began selling fried chicken from his roadside restaurant in Corbin, Kentucky during the Great Depression. Sanders identified the potential of the restaurant franchising concept, and the first "Kentucky Fried Chicken" franchise opened in Utah in 1952.
Taco Bell was founded by Glen Bell, who first opened a hot dog stand called Bell's Drive-In in San Bernardino, California in 1946. Pizza Hut was founded in June 1958 by two Wichita State University students, brothers Dan and Frank Carney, as a single location in Wichita, Kansas. PepsiCo acquired Pizza Hut in 1977.

Renwoxing13 Hacked By Scarce $1.1 million per year isn't lower-middle class, it's upper class. It's 20 times the average salary for an American. But for a CEO of a big food corporation, it's surprisingly low.

They did, but only briefly, from 2002 - 2011. The reason they sold them was because A&W and Long John Silver's weren't really popular outside the US, so they didn't fit Yum's global focus.

Ok, so I'm a little confused on the meaning of "spinning off a business". How do you spin off a part of your business, and keep making money from it? Do they sell the company off to the newly made company itself? Like one big lump sum? Or do they just hand over control and not ownership/profits?

1st very nice and informative video? Question but spinning off part of the company into a subsidiary isn't a good thing? You may lose in capital but you protect the brand name and also in case one part of the company fails it doesn't reflect poorly on the rest of the company because most consumers don't know that Pepsico is behind Yum ie. Also for that reason didn't Google create Alphabet?
@BusinessCasual
@BusinessCasual 8 жыл бұрын
I'm sorry, I should have made that clearer in the video: the spinning off I'm talking about is into a wholly separate public company. When Pepsi spinned off their restaurant businesses, they completely cut ties with them, making them a fully separate entity. Spinning off into a subsidiary is a process with very different implications, like Google's restructuring into Alphabet.
@AlexanderTalavari
@AlexanderTalavari 8 жыл бұрын
Still it's not like the gave away the company or sold those parts. PepsiCo owns a % of that company and probably there is a reasoning to make it a Public company rather than subsidiary.
@BusinessCasual
@BusinessCasual 8 жыл бұрын
Of course, PepsiCo shareholders received 1 share of Tricon for every 10 PepsiCo shares they owned when the company was spun off in 1997. However, Tricon made a payment of $4.5 billion as well, which is essentially buying out $4.5 billion worth of equity off of PepsiCo, thus relieving PepsiCo of a large chunk of ownership of the new company. Were PepsiCo still invested in the new company? Absolutely. But they still owned a much smaller percentage of it than if they would have retained the business as a subsidiary. The reason they made it public was because they felt it was too risky. In the mid 1990s, their restaurant franchises had stagnated and weren't growing as fast as shareholders were expecting. In their eyes, holding the restaurants was a gamble, since they are a very capital-intensive investment that may or may not profit in the future. As we know, the restaurants did indeed succeed afterwards, but by that point PepsiCo had already divested their stake.
@AlexanderTalavari
@AlexanderTalavari 8 жыл бұрын
But their investors made more money. Btw i want to thank you for putting this thoughtful reply.
@BusinessCasual
@BusinessCasual 8 жыл бұрын
I'm glad to discuss these topics, they are very interesting to me! I agree that their investors made money: after all, they did hold shares in Yum! Brands after the spin off. The question is, would they have made more money if the restaurants had remained a part of PepsiCo (be it directly within the company, or through a subsidiary spin off)? That is, did the restaurants become successful because they were spun off, or due to another factor (macroeconomic effects, food trends, etc). We can't really know for sure, since maybe if the company had remained part of PepsiCo, the managers still would have done improvements for the franchises, but at this point it is just speculation. The answer to that question is really beyond my level of knowledge on the subject, but it is an interesting thing to think about.

What's wrong with spinning out a part of your company as a new one? You still own a part of it, and if it makes profit, so do you, but saves your core business from failing in case the second one does bad.
@BusinessCasual
@BusinessCasual 7 жыл бұрын
There's nothing inherently wrong with it, if done right. The thing with spin-offs is that they become massively complicated at that scale. You never know if you're severing ties that we're vital for the subsidiary's success until after the fact, at which point it's usually too late.
