Hi thanks for the video, I had one question, Im leaving my friend’s company/startup, I have agreed transferring my shares to her. And In the leaving contract its written “ The Benificiary(Me) saves Harmless and indemnifies the Trustee(Her) in her capacity as director and shareholder from all costs, claims, demands or damages that may be made or claimed against them in their capacity as director and/or shareholder of the company and acting in accordance with the deed” can you please explain this?

First and foremost just want to say I love your videos. Very informative and very on-point for where my wife and I are at this stage in life. We are thinking of starting our own online business that specifically offers services but very difficult to explain. I have literally about a hundred questions that I can narrow down to 10 would there be a charge for me to just ask you wave top questions that I understand cannot be construed as you advising me? I guess I'm seeking more direction as we start our business more than anything else.

There's an indemnification topic in #10 of the contract and I want to make sure first if i'm signing a fair deal. Please reply asap. Let me know if I have to call or email you my contract. Thank you so much.🙏🏼😊🇺🇸🇵🇭

Hey Aiden, great video. I've been watching your videos, and I have an interesting question: Is it possible for a non-US citizen, non-resident to form a corporation as the only shareholder, and if not, is it possible, for a non-US citizen and non-resident, as a single-member LLC to elect to be a S-Corp? Thanks. All the Best!

What if the other person/entity can’t afford the indemnity...would you have to cover the rest of it if you’re the one getting sued?
@reissrobinson6 жыл бұрын
Thanks Aiden :) In practice is it best to Limit liability in blanket or specific approach (apart from liability which cannot be limited or excluded by law)? In your experience what have you found is most practical when s*** hits the fan. Thanks REPLY

Are indemnification clause substantially different from release clauses?
@allupinyobiz4 жыл бұрын
Yes, substantially different!
@Daniela3516 жыл бұрын
If an indemnity clause is extreme vague, broad, and doesnt even say "arising out of this contract" will a court even up hold it? And if it doesn’t say "arising out of this contract" isn’t it pretty much saying you can never sue this person for anything your whole life and you will indemnify for anything their whole life?
@Daniela3516 жыл бұрын
ex: CLIENT hereby indemnifies and holds VENDOR harmless against any and all liabilities, claims, and expenses. [THATS THE WHOLE CLAUSE]

You being a successful lawyer, why the damaged wall to your right? Looks like you're probably in a basement of a rental house? Can't afford a little plaster work?

@beyondabovemedia6 жыл бұрын
Wow. Judgmental much? I can't imagine you having much "creativity" when your observation and response is of the most simple kind. You should see my shithole of a work space. Please judge my body of work. I personally love blind hate. It's quite motivating.
@Daniela3516 жыл бұрын
She never claims to be a successful lawyer making tons of money. Rental or no rental ....that literally tells you nothing you fucking dumb ass! You can have money and be in a rental house for so many reasons. A damaged wall could also be there for a number reasons having nothing to do with money. Maybe shes too busy being an attorney and creating videos to worry about a small repair that is barely noticeable. Now we know it is because its a rental and once again- see above. Parents basement?? lmfaooooooooo. You obviously have never seen her other videos and even if she was who cares!!! She creates amazing videos which are very informative and extremely helpful in understanding certain topics. Why dont you go work on your own problems instead of attacking an innocent girl with a completely baseless argument. Think before you press send next time so you dont sound like such a dumb ass. She obviously has something you want. Since you are obviously jealous of her, why dont you look to her as inspiration and make yourself better instead of sitting there and trying to find any tiny thing wrong with her. AIDEN, YOUR OBVIOUSLY DOING SOMETHING RIGHT !! I LOVE YOUR VIDEOS!
