Good day Atty.. Ask ko lang po kung may karapatan ba ung mga heirs ng deceased President/Managing Director, who was also the Major Shareholder (owning 96% of total company shares of stocks) na bawiin ung incentives/gifts na binigay ng kompanya na binayaran using company check signed by the deceased P/MD/MS sa empleyado bilang reward for a job well done? On top of that, wala pa naman silang settlement of state. But three of the seven heirs own 1%share on the company.

Hello po Atty! Just to clarify lang po, a corporation can now enter into a partnership but does it not violate the doctrine of delectus personae? Thank you po.

Section 35 now allows corporations to form partnerships. It is presumed that the doctrine of delectus personae does not apply to this case anymore, especially since the other partners will have to consent anyway for the corporation to become a partner.

@@AttyJavierLawVlog Attorney ang sabi mo ay "law for the everyday laymen"? Mas makakatulong sana kung may powerpoint ka para mas maintindihan ng laymen or masang pilipino ang batas. Mas maaapreciate ng mga tao kung kayang gawin ng lawyer na i-distill ang complex information at gawing simple enough na kayang maintindihan ng simpleng mamamayan dahil ang batas any para sa lahat.
