Canadian corporate laws allow incorporation and operation of a business by foreign residents. Many business owners use this opportunity to establish their business presence in Canada and expand their operations to North America. In order to incorporate a business by foreign resident, you must have a Canadian resident (PR or citizen) as 1 out of every 4 directors of the corporation. Since the positions of a director and a shareholder are separate, you do not have to issue shares to your Canadian director, but definitely allowed to do so. While operating business in Canada, you must pay attention to the taxable consequences arising from your status as a non-resident, and the corporation being controlled by non-resident. Canadian Controlled Private Corporations (CCPC) enjoy from a significant deduction of their income tax from 31% to 13% on the first $500K of profits. As a non-CCPC your corporation might not be eligible for such deduction. In order to come to Canada and actively operate your business you will need a work permit - Temporary Foreign Worker Permit of TFWP. Only with such work permit you are allowed to actively mange your business in Canada and earn income from the business. This process is usually performed by a professional immigration consultant. Eventually, you can use your Canadian business for the purpose of immigrating to Canada, but the process is complicated and requires professional assistance. Manish, apologies, i didnt check the posts for some time... In Ontario, BC and AB, we can incorporate wihtout local directors, meaning 2 people from India could be the only shareholders and directors of the corporation. there is no requirement for a minimum capital investment in Canada and no requirement for any net worth to incorporate.

Faizan, 1. It doesn't really matter which type to chose, since both Provincial and Federal have the same operating authorities and are not limited to any given province or state... 2. Currently Ontario and AB also allow incorporating without a local director. So the question essentially boils down to where you want to establish your center of operations. In ON I can definitely assist with incorporation, with BC a bit less...

Mehrsa, while the proposed process is possible, it should be reviewed carefully in advance. Such payments as dividends (and in some cases directors fees) that a corproation is making to foreign residents are subject to 25% mandatory withholding to CRA. So in order to stremline the process, I would suggest to completely separate the payment from the "directorship" - make him/her issue an invoice for the services and pay it as you pay any other invoice, without any relation to that person being a director. In any case - this should be verified with your company's accountant.

Ali, there are many issues with your question, which I hope you realize and address: 1. Shareholders may be unpaid and may never receive any payment from a corporation - this is legal. What is not legal is to pay dividends to one shareholder and not to pay them to another if both hold the same class of shares. So in your case, I would consider separating the classes of shares. 2. as a foreign student, i think you are allowed to work only a certain number of hours and even that under limitations. You should consult your immigration consultant to make sure that you receiving money from your business will not negatively affect your future immigration status. 3. I am not sure what you mean by 25% personal tax, as it might differ - personal taxation is a progressive one and can get up to 52% above certain amounts. In case you refer to dividends, then if this is your only source of income, 25% will not work for you. So - after you speak with your immigration consultant, talk to a good accountant to make the calculations of the taxes and how to pay to yourself (if at all). I hope you get the picture...

What would be a good framework to address the issue of foreign business in canada? Where companies owned by say USA will only want to hire their own sends, legal or injected. Run in a scripted network to favour business with each other and move money around your place using other businesses owned by them tricked a different country or even just with some local businesses with managers on board bought by that country. Sometimes it will seem somewhat benign and others horror. Mostly just against your country. I guess it would be in the millions. So if one of the stratigies is to convert that business into yours, or change it and get all new people. What happens to those in it? While some, should goto 'jail'. Is it viable to do it to all of them? what systems would you have setup for them? Sometimes sending them back is fine and they get to live in their originating country. Sometimes you get them injected back if you haven't closed those exploits in you, sometimes they just resell them. All of the above.

Walij, I am not sure I understand the question, but in case a SH of your corporation does not receive any income, then there is no effect on their tax liabilities. This might change in situations where you change your shares capital of the corporation and some other circumstances, in which they realize what is called "deemed" dividend.

Dear Kay, there are two perspectives to your question and the answer to them is different. From strictly legal perspective of incorporation in Canada, as long as you have a Canadian partner who will be acting as your corporate director, it is absolutely possible and legal to incorporate and operate a business by two of you. From you student permit, the situation might be different since your student permit has certain limitations (such as number of hours you can work), which might prevent you from operating your own business. I would suggest to consult your immigration consultant to make sure that your incorporation process now will not negatively affect your status in the future. You should keep in mind that the ID's of directors and officers of a corporation are public information and will be accessible to the immigration officers reviewing your future applications. You do not get benefits for opening a company. But, first you can use the Canadian company to operate your business internationally (some would consider Canadian companies as high-reputation), and then you can apply for work permit and eventually for PR under your own business (you should discuss it with an immigration consultant).

Andy, all provinces allow incorporating as foreigner, the question is which allow to do so without a local person acting as a director. Currently most of the provinces allow incorporating without a local director, but most would still require an appointment of a local agent for service of legal documents. The legal process for incorporation is to file the articles of incorporation with the local registrar and then to prepare the corporate documents - by-laws, resolutions and registries.

Yes, you can incorporate. Please note that there is no LLC in Canada, only a simple corporation (ltd., inc., corp)... Please keep in mind that as an international student, you can be a shareholder of a corporaiton, but your "work permit" is limited to 20 hours per week, so you should be able to prove that you did not work more than that...

Jatin, this is actually a great catch by you. Indeed there is a confusion of the "residency" status. While the corporate laws refer to permanent resident and citizen for the purpose of incorporation, the tax laws refer to the "tax residency". Accordingly, if you come to Canada with a work permit, get your SIN and stay in the country 185 days, you become a Canadian resident for the tax purposes. In my opinion this should comply with the CCPC requirements of the Corporate Income Tax Act. That all being said, and as usual, an advice from a corporate tax specialist would be more than advisable.

Exim, most probably not, since if you are a "foreigner usimg work permit under same company", you are most probably working in Canada, hence being considered as a Canadian resident for the tax purposed (spend more than 185 days per year in Canada). Then your company should be eligible for the CCPC discount (please verify with an accountant), resulting in both 13% corporate income tax, and no source deduction since you are not a "non-resident" for the purpose of paying the dividends. This is my personal interpretation and I would suggest speaking with an accountant before making the final decision.

Saadia, No, partnership and corporation are two separate and DIFFERENT types of business entities, they have different tax implications and each might have its own benefits for certain situations, although partnership is fit only to the situations where you do not intend to operate in Canada AT ALL... IF you incorporate you will need a local partner to work with (director in your corporation), after the incorporation this person will be able to open a bank account together with you (could be done online), and then you can be appointed as the signing authority for the bank. I can assist with all these arrangements if needed. This being said, you still will be relying on your local Canadian director in certain aspects of operations.

I actually think that the system in Canada is very easy to navigate and many govt authorities will happily assist you with your task. Buddika, I think that I've answered this question at least 10 times already. The main problem with the situation is that your work permit implies a presence of an "employer", which in my opinion does not allow you to operate a business as a sole proprietor. BUT, in case you incorporate and then the corporation, as a separate legal entity, employs you - I do not see any problem with it. Anyway, in case you have an immigration consultant assiting you with your file, I would consult them in advance with the following question: "Will the fact that I own shares in a Canadian corporation and act as its director affect my PR application in the future"... Sandra, As the best solution, the ownership of the foreign resident for the purpose of O/O should be indeed 51%. While the tax on the profits of the corporation will be 31% then, it is easily manageable . Please note that the taxation of the corporation will be dealt with only following the completion of the first year of its operations (and 3-6 months thereafter), by which time your status will hopefully change.

You still need a local PR or citizen to act as a director along with you in the corporation. b. You should discuss with your immigration consultant how the incorporation and operating an online business will comply with your student permit and how it might affect your future immigration process. Aside from these two - you can operate a business in canada just as anyone else.

Ekam, it is a bit complicated. I've answered already this question a number of times. As a student, you can own Canadian property (car, home, phone, etc.,) accordingly, there should be nothing to prevent you from owning shares of a corporation - these are just regular assets. A completely different question is whether you can and how to work for your own corporation. From one side you can work 20 hours per week as a foreign student on student visa in Canada, from another, being the business owner and working for it might be an issue in the future when you apply for your PR. Some immigration consultants say it is a problem, others say there is no problem at all. I do not know who is right...

Mohammed, while student permit by itself does not prevent you from being a shareholder in a corporation, I would strongly suggest to consult your immigration consultant about being a director and officer in a corporation = this information is publically available and could affect your visa. From the corporate perspective, you should remember that you need a canadian permanent resident/citizen to be a director in your corporation (student visa is not sufficient). Additionally, to the best of my knowledge there are limitations on how much $ or how many hours you can work under student visa - so you should also be able to prove that you comply with this condition.

HI JK, overall the answer is "yes". As a non resident, you can incorporate in Canada, but you need to have a local canadian resident as your director. Once incorporated, you will be able to open a bank account for the corporation and start operating it. If purchasing an existing business, these task become easier since you will have an operating corporation with the bank account. You can also set a condition for the purchase that the seller will remain a director of the corporation until you arrive to Canada. While it sounds a bit complicated, and I do think you will need a professional assistance with the process, it is doable and we can make it happen for you to have a local canadian business. Luqman, There are two separate programs - one for Start-up visa, this program is strictly limited to startups and is pretty complicated and very expensive (with all the costs and expenses it will run in excess of $100k), but will allow you earlier access to the Canadian venture capital. The program that I mention in the video is called "Owner-Operator" and is intended for any type of business, not necessarily start-up. It would cost less, but will require your investment into a local business (new or purchased) of at least $250K. I am dealing mostly with the second type of programs by providing legal and business support to the immigration consultants.

Ritu, it isn't clear. In my opinion, no - the WP assumes that you have an employer (even open WP), so operating as a SP is not exactly having an employee. Incorporating on the other hand is a different story - then you become a shareholder of your corporation and can be employed by it and since your corporation is not you, then your WP fits with you being employed by a corporation...

Hi PIODENT, Overall, there is no minimum requirement for the capital investment for a new corporation in Canada, you can open a corporation with $100 or even less of the initial investment. That being said, you should keep in mind the following: a) the costs of operating a corporation in Canada, especially if you are not a local resident, could be approx. $10K per year; b) if you ask about investment for the purpose of obtaining a work permit, then it could be as much as $300K. Usman, yes. There are several provinces that allow you to incorporate wihtout a local director in Canada (ON, BC, AB). You can also incorporate in other provinces, but this will require an appointment of a local Canadian citizen to act as a director in your corporation.

Ramona, to the best of my knowledge, you should look for a potential employer, who will obtain a permit to issue a work visa for you. The process is called LMIA and you can look it up online. Once you have an employer, you will need an immigration consultant to complete the process for you. Contact me if you need a referral to the consultant for the process.

Dear Satwinder, unfortunately we are not hiring now. Also please keep in mind that in order to hire a foreign resident, a local company will have to apply for LMIA and prove that they could not find any one with the similar skills and knowledge in Canada.

Gaurav, I think that the approach should be in a reverse order - first we have to figure out your personal background, education, experience etc., and then look for a business that will provide you with the highest chances for success for PR application.
