Thanks Arturo! Once your LLC is filed, you don't have to worry about a DBA. You'll just do business under the LLC name. The DBA is a fictitious name ("nickname") that represents either an individual or a company. I'm not sure if you need one, but let me know why you were thinking about one? A DBA isn't registered with the SOS though. I understand you can have multiple DBAs under an LLC,..granted the nature of the businesses are the same.I know there are liability risks for all the DBAs under the LLC. Can I just go to my local county clerk's office and fill out the (I think it's called) Fictitious Business Name Statements all together? And last question, when building a website can it be branded the DBA or does it have to be the LLC? Thanks!

Thank you so much for this. I'm confused that you still have to give your home address/business address on the form even if you use a Commercial Registered Agent. I thought the whole point was to protect your privacy. Why pay a CRA if your personal information will be public record anyway?

Some states ask for a "business address" and some do not. On the CA Articles of Organization, you can list your Commercial Registered Agent address as your business address if you'd like. Or if you prefer, you can be the Registered Agent, list your address in #2 and #3. Apologies for any confusion. Hope that helps.

If your LLC is approved in February 2020, the first $800 payment (that pays for the 2020 year) is due June 15th 2020. If it were approved in March 2020, it would be by July 15th 2020. Next year, the $800 payment for the 2021 year is due by April 15th 2021. Then it's due by April 15th every year going forward. Thank you for the response. Your whole video series is quite helpful. I have my registered agents name in 3c and the registered agents address in section 2. For the cover letter I have my name and phone number in the "contact person," section as it says that won't appear on any documents and is only used for correspondence in creating the LLC. Under that in, "Entity Information," I have only my LLCs name. My question is: Underneath that in the, "Return Address," section. Do I put my name and physical address or do I put my registered agents name and address? Trying to keep my information private once it is filed so I am being very careful with this document. Hey Ryan, you're welcome. Glad to hear the videos have been helpful! Thanks for the very organized and clearly written question. In the "Return Address" section, you can use whichever you prefer. The state doesn't really care. They just will mail your approval to this address. It can pretty much be filled out any way you like. Now, if you use your Registered Agent's address, just check with them ahead of time to make sure it's cool. They'll need to scan the approval docs to you via email or forward via regular mail. Hi Garman, to correct you're phrasing, it's best to say an LLC taxed as a Sole Proprietorship (which is the default tax status for a single-member LLC). The answer is yes, all LLCs in California need to pay the $800 annual franchise tax. As long as the address doesn't say "PO Box" in it, such as a commercial mail receiving agency, the state seems to be okay with them. You can also hire a Commercial Registered Agent as a few them will let you use their address throughout your filing. The one's we recommend do. Hello! Thank you for this helpful info! I have a couple questions. 1. If I want to use a simplified name for everyday business do I need a DBA? For example if my company’s name is Apple Farm, LLC but I just want to use Apple Farm on all my documents/website/sales tags/etc. 2. I will be getting a mailbox at the UPS store so that my business has a street address that is not my home address. Can I use that UPS address on all my filing forms? Hey Rachel, you're welcome :) Yes, if you want your LLC to do business under a name that is different than it's legal name, you'd want to file a DBA. I think the statute is silent on this part. Hey Adel, thanks! Glad they are helpful :) Just to correct your language, you are not "incorporating" an LLC (you "incorporate" a Corporation). Instead, you "form" an LLC. The Articles of Organization will form the LLC, but you may also need a fictitious name (also called a DBA, or doing business as). Hi Feroze, check with your Registered Agent to see if they allow it (a handful of companies do). By default, the LLC will be taxed by the IRS in its default status. This occurs when you obtain your LLC's EIN and tell the IRS how many Members (owners) there are. Meaning, a Single-Member LLC is taxed like a Sole Proprietorship and a Multi-Member LLC is taxed like a Partnership. If you want to change that, you have to file a form with the IRS to make that election. You'd file Form 2553 to have your LLC taxed as an S-Corp (www.llcuniversity.com/irs/llc-taxed-as-s-corp-form-2553/). You'd file Form 8832 to have your LLC taxed as a C-Corp (www.llcuniversity.com/irs/llc-taxed-as-c-corp/).

too bad it doesn't have an online, e-sign option for efficiency eh? What about doing a sole proprietor along WITH an FR-500 form (all on line)? You see benefits with that? then adding a trust afterwards to secure the human individual's exposure? Also you mentioned a fee that gave 90 days to pay. .but this was $70 w/the submitted form. Please clarify. On the EIN# application, how will they know if the LLC was approved or not? We receive a # with LLC approval? thx

CA actually has online filing now. We'll be updating our site with the new instructions very soon. We're not familiar with FR-500. Wait for your LLC to be approved and then apply for the EIN. The IRS doesn't check to make sure the LLC was approved. Which is why you want to wait on the EIN application until the LLC is approved (so the EIN is "attached" to the correct LLC name). Great question Bernardo. As per Section 17701.13 of the California Corporate Code (which applies to LLCs), if an LLC's Registered Agent is an individual person, that person must be a resident of the state. A resident of the state would therefore have a California driver's license. Hope that helps.

It's due once per year by April 15th. The only quirk is figuring out when the first year's payment is due. What date was your LLC approved? Next, in the "Entity Information" section, enter your full LLC name after "Name". Leave "Entity Number" blank (since it doesn't exist yet). Leave "Comments" blank. At the bottom, in the "Return Address" section, enter your name, leave "Company" blank, and then enter the mailing address where you'd like your approved LLC Articles of Organization to be returned. Hey Brice, it doesn't matter. CA imposes the $800 Annual Franchise Tax, regardless of income or activity. Also, I recommend waiting until January 1st before forming your LLC to avoid back-to-back $800 payments being due. In short, if you form an LLC in 2016, you owe an $800 payment for that year. Then you owe 2017 payment of $800 by April. Also, it's best to follow our course on the website. It's easier: www.llcuniversity.com/california-llc/ (lessons in sidebar). Yes, you can still apply fo contracts in California without your LLC being foreign qualified there. If you begin doing lots of work in California (aka "transacting business"), then I would foreign-qualify your NJ LLC there.
