If I have several real estate properties in LLC's under an umbrella company, what is the purchasing power of the holding company? Can I combine the profits from all subsidiaries and make a purchase under the name of the umbrella company, and then put that new purchased property into an existing or new subsidiary LLC? What would if I have to do to do that properly and make sure I'm not co-mingling funds?

I am a sole proprietor with 5 employees. Already have a DBA and EIN and I'm thinking of forming an LLC. A couple questions: My business is an on-the-road service, and the "per mile" deduction is "YUGE" so I'm not willing to give that up. I know a corporation must deduct actual vehicle expenses. What about an LLC? Will I have to "reregister" my DBA? Will I need a new EIN? Will I need new bank accounts? Will I have to "fire" my employees as a sole proprietor, then rehire them as an LLC? Will my existing agreements with merchant services, phone companies, etc still be in effect? (For example I have a sweet deal with the phone company, locked in for life. If I have to negotiate as a new entity I'll lose that.) Will I have to formally add myself to payroll, deducting taxes as I already do with other employees? (If so, doesn't that mean I'd have to file separate taxes for the LLC?)

I spoke with an attorney who told me that, not only would forming an LLC cost me $800 annually in California, but it would costs thousands to get properly set up, and he did not recommend doing it on my own. I'm not sure who I can trust.

Who registered businesses, Federal or State Government. For example Walmart is registered by the Federal Government or by every State individually. Does it has one Tax ID for the whole USA or separate Tax IDs for every Sate.

Hi, I formed an LLC, received an EIN number for that LLC and registered both of them. 100% of the LLC's income is derived through selling items on eBay. The money made from selling these items goes directly into the LLC's Business Paypal Account which is linked to the eBay account. How do I go about legally transferring that money into the LLC's business bank account and how often can I transfer funds from that Paypal account to the bank account? Thank you

I'm putting together a comparison of a S-corp, C-corp, LLC & a Sole P for a financial presentation. I was taking notes on this video and had to slow the speed of your video down 0.5 so my note taking can keep up, Lol.. I also noticed you take the time to answer questions below and I think that is very cool of you! So perhaps you can help answer this question for me. What are the benefits and tax advantages of having a C-corp and utilizing a Corporate owned life insurance aka COLI? Do you have to have a C-Corp to have a COLI or can an S-Corp have a Coli? Carol Lee In general, you will first need to create the LLC by filing Articles of Organization with the Secretary of State (or whatever agency controls business entities in your state, it may have a different name), draft any necessary internal documents for the LLC (e.g. Operating Agreement, organizational resolution, etc.) and any additional documents that your state may require, then file IRS Form 2553 to elect the S Corp tax status. My tax preparer suggested me to choose S-corp but I don't think the first year I'll make a lot of money to the point to afford the extra cost of being a S corp like booking, meetings and other necessaries details . So, I feel that the tax money I would be saving being S corp would go other expenses and not to my pocket.

So in Florida right now , it is illegal to start LLC either S or C corporation and be self proprietor, one member, one person corporation. If you are a self proprietor you only choice is Inc. corporation.

If you have a single-member LLC, you'll file as a sole proprietorship using Schedule C (unless you choose to treat the LLC as a corporation). Is there still a tax benefit to a single member LLC if you have to file as a sole proprietor? Honestly that's the main reason I'd form an LLC, well that and the personal assest protection. Any thoughts?

Quick question, I am starting my own mens clothing business, buying wholesale products and selling them. I also design my own material as well. It is just me bringing up the business, I don't have any partners or invest in anyone either. I was going to apply for an LLC. But since I am very small and no one really knows the business at all, the chances of me getting sewed are very low. Should I go sole proprietor or would you still recommend LLC?

***W2, 1099, or C2C ???? I am a contractor*** Hey ' 180 Law Co. LLC ' ; I work as a PM, a Network engineer, SDE, or whatever pays the bills. My contracts/projects last about 1-2 years. What should I choose? 1. on W2 these staffing agencies offer NO days off PTO or Holiday; NO Work NO Pay. 2. W2 you cannot get personal health insurance unless you pay for it. Usually a 3pl insurance is a better deal. 3. some W2 offers 401k or IRA but NO MATCHING. 4. on W2 Staffing agencies often take At Least %10, but many are taking 30-35%. (often its overhead for taxes 7%, HR, etc); **this Type of W2 contract is All the rage in 2019. The salary for these jobs can range $25-55hr. and higher with shorter contracts. ADVICE PLEASE!
