Sir ager smc company ka capital 7.5 million se kam hai to audit or waly certificate ki bat ki wo khud jama karwa day. Or wo certificate hai kon sa ye bhe bata dyn

Salam, statutory financial audit is not compulsory for private companies with less than 3 million capital. 1) What is the procedure to change article of association for private companies. 2) Is requirement of filling Form-45 for private companies is on annual basis or one time or at the time of change only. 3) Do private companies required to convert their physical share to Electronic-books. 4) What are steps for transferring shares of a private company. 1. Audit is mandatory for companies having capital of Rs. one million and above. 2. Procedure for amendment of articles is defined in the Companies Act, 2017. Will address this in any other video. 3. Form 45 is required to be filed now by every company and then annually with other returns. 4. Conversion of physical shares to electronic has not been made mandatory yet. 5. To transfer shares of a private company the selling shareholder needs to get the approval of the board of directors and then those shares will be offered to existing shareholders first and upon their refusal they could be sold to outsiders.

SMC can be converted into a private limited company but the owner of all the shares have to give some shares to the incoming shareholder/director.

In a company 5 person's are subscribers, out of which 2 are directors with 25 % each , one subscriber has 25% and the rest have 12.5% each, in form 45 filing we need to declare 3 person's and leave the rest 2??
