Good pm sir. Pwd nyo po ba ako bigyan ng linaw. Ang aming alumni assoc inc. Na register sa SEC. Since 2011 and last na nakapg pasa sila ng reports last 2013. Mga 10 yrs na po yta na hnd na nakakapag pasa ng reports. They did not call a GA or election na need at nakalagay sa bylaws. Ang tanong ko po pwd po ba kaming mga active members of the alumni can call for a GA and election?

Hello. Tatlo po ang comment niyo, dito nalang po ako mag reply para hindi magulo. Kailangan muna pag-aralan ang articles of incorporation o anupamang dokumento ng association nyo para malaman kung anong uri ng organization ito. Hindi po kaya ito hulaan. Tungkol naman sa meeting, Una po dapat ay subukan ninyo kausapin ang miyembro ng board o mga officers upang mag hold ng meeting. Kung wala parin pong nagtatawag ng meeting, doon na tayo mag explore ng posibleng pwedeng gawin, tulad ng posibilidad ng pag-petition sa SEC, pero ito ay naka-depende sa ano bang uri ng organization ang association nyo, which, as mentioned earlier, hindi ko mahuhulaan nang di napagaaralan ang dokumento nyo. Mas mabuti na ayusin ang kasalukuyang Association kaysa gumawa ng bago dahil gugulo lamang ito. Tandaan po natin na ang pag sagot ng tanong ay isang paid service. Ah I see. Siguro so far, ang issue lang is yung earnings. If Dini-distribute ng company yung income as dividends, bawal gawin ito ng non-stock, kasi stock corporations lang pwede mag distribute ng dividends. Pero kung sweldo lang ang pag distribute pwede naman. Yung income kasi dapat ng non stock dapat mapunta sa ibang bagay, like projects, maintenance, etc, basta hindi pwede distribute as dividends.
