I did'nt expect to learn about Club Penguin (one of my fav games as a kid) as a CMA - M&A earnout example, I miss the game so much and it's such an interactive example so I went on to learn more! Apparently, Disney discontinued it to prevent "money loss" long ago, maybe the gross profits from this product line didn't workout as compared to other's - because the search said "they tried to include subscriptions, but players started moving out" and now the fanbase made "Club Penguin Rewritten" using Small Web Format model, which faced a copyright lawsuit in 2022 by Disney and now am curious as to why if a company understands and knows they want a product discontinued & won't ever take it up, can't just sell it off? Does Disney's copyright over Club Penguin serve more profits than just selling the game to whoever can manage it at different pricing?

Lets say that I want to acquire a business earning $2.9M in AR for $7M. I want to structure the deal to be an earn out of $3.5 now, and $3.5M later, however, instead of keeping the previous owner onboard, my team would take over and drive the sales. Is this still considered an earn out?
