Have you seen the two clips circulating around? One where Joe says (speaking to entrepreneurs) “lesson number one: fudge the expensesssss. Throw all kinds of shit in there.” And the other one (almost 2 years ago) where Rory is taking about Dusse Palooza, his other business venture, and after Joe jokes about how much his partners are making, Rory says something along the lines of “atleast we have accounting.” The JBP universe is more captivating than the MCU, truly.

I think a lot of the problem is the way Joe sees his deal with Patreon. I can't remember if he stated Cash App was the same way but he keeps saying the Patreon deal is with Joe. While that may be true, could it be argued that the deal with Patreon for JOE is largely due to the JBP? If so, does that mean that he would have to share compensation for such a deal? Would there need to be anything specific in the contract regarding the JBP? It seems to me like he doesn't get a Patreon deal without them. Joe also said something very telling in one episode I believe before all this started or maybe it was just after they came back. He was talking about never having an office job. That to me has been his biggest problem in doing business. He doesn't realize that asking to see your compensation broken down (no matter how you get it) is normal. People on commission ask for this all the time, people ask about their pay stubs, etc.

Also Joe has said...he gives them the numbers...they want to know how the numbers are the numbers ie they want an Audit...Joe has said well if you want an Audit then do one...and Mal is like no. Well they’re at an impasse...It sounds like Joe is going to end up doing one just for them to get some closure though based on recent comments. The other thing in regards to the Spotify money and what makes it tricky to talk about and what makes the whole profit thing tricky is...we don’t know the contract...it sounds as if the contract could’ve been in part a contract signing Joe as a separate entity from the Podcast...it’s almost like Nelly getting signed to the label and them kind of agreeing to a separate deal to bring the Lunatics along because they wanted the star. So maybe all the money wasn’t technically profit for the Podcast but profit for Joe or even profit for the JBN because we can assume at some point on the re-up with Spotify Joe was likely trying to do a Network deal similar to Bill Simmons.

This is def the Joe Budden podcast. All Rory and Mal did was show up twice a week. Joe has been putting his all in this podcast and even paying these two suckers out his own pockets when there was no deal. Not to mention joe gave rory and mal the right to use the content to build their own brand to get their own deals with spotify, youtube, cashapp etc.

@Justin Brown all Rory and Mal we're required to do by contract was show up. Joe was required to provide quarterly accounting, and pay them the percentage. Rory and Mal were not required to take the video and work it separately from the podcast. All that other stuff is a deflection from the true issue, that Joe and AK got stuck on people's head.

Not a licensed attorney yet but I am a law student and I thought that I should point out that your cohost was incorrect when he assumed that simply because they are profit participants they have an inherent right to extensive accounting (meaning explanation of expenses or extremely detailed expenses on a micro-level) or a right to audit. That’s not necessarily true (although highly likely) if the contract does not grant a right to audit and also gives Joe as the owner of the Copyright and Trademark for the show the exclusive right to incur expenses on behalf of the show without the approval of the cohosts that are also deductible against gross revenue (also very likely in this case) then I understand what Joe is trying to express from his point of view. It’s likely that if brought to court a judge would require disclosure of expenses and gross revenue to resolve a dispute involving profits but if the contract does not state they have a right to audit then they do not and absent fraud and assuming Joe had exclusive right to incur expenses for the show then any accounting that reasonably shows expenses and revenue and is presented to the cohosts would fulfill his contractual obligations. Just feel like this point was never made in the video

Taking Rory and Mal's statements as true, they have a standard auditing right, which contractually entitles them to see all expenses/revenue related to the show. However, the important preface at the beginning of this episode was that no one has actually released the contract, so all we know is what each side is saying. What Joe has NOT said, is that the accounting provision had any restrictions. Restrictions of any kind would be very unusual, but to your point, the contract controls, so whatever the parties agreed to, is what they have to abide by.

I agree that restrictions are unusual but that does not entirely rule out their possibility of existence and that was my only point. Your cohost made statements to lead the viewers to believe that simply because there is a profit sharing agreement it meant that Rory and Mal must have the right to audit or extensive accounting without any restrictions whatsoever. Which as you stated above the contract would control one way or another but the existence of a profit sharing agreement does not inherently grant them the right to audit or extensive accounting absent a contractual provision stating otherwise. This is just Joe Budden slander. I would expect an attorney to discuss and explain what should happen under the circumstances that Joe described. He has a deal with Spotify which prohibits him from sharing the details and particulars with anyone, including his employees. Also, you don't have to be a lawyer to understand that if you get a percentage after expenses but Spotify makes a one time payment up front, the expenses haven't been paid yet and are unknown so how could he pay them immediately? These are simple questions that weren't brought up because the judgement was predetermined in this video.

Actually he’s doing what most “real” business owners do. Most of the successful business mean are conniving, sneaky and cold. Look at Steve job and Steve Wozniak. Look at how Bezos lets his workers be treated while he goes to space. And Trump…enough said. If you look into successful companies I bet 90% don’t pay workers fairly and treat them like trash, then fires them to find cheaper labor. I think everybody has heard on of these phrases in some form “you can be replaced” “if you don’t like it you can leave” “we have people waiting to be hired for your job now, it’s your choice” “if you don’t like it here you can leave”. This is capitalism.

Rory and Mal are not gonna make it in the podcast business. Rory and Mal were cry babies. If not for Joe none of us would have known them or they won’t have been this popular, but they tried to bite the hand that feeds them and decided to go there own way. I wish them good luck but now they have to get their boot up and do all the hard work, it was Joe who was doing all the hard work for them all this while, but now they gonna realize how hard this shit is. People were drawn to the show because of Joe not Rory and Mal; so they got known and popular because of Joe; they should be grateful to Joe for even thinking of putting them on his show. Joe is a creator and he’s successful at it. Don’t get me wrong, I don’t like what Joe did to them, he was wrong for that, but those guys were trying to disrespect Joe on his own podcast that’s why Joe got rid of them. After this in a few months or a year, no one will be talking about Rory and Mal, they just lost their opportunity. They should have worked things out with Joe. We all knew how Joe is, Joe hustled his way up to were he is today. No one gave him hand outs, he is his own boss, but them guys forgot that Joe was their boss and they started acting up. I would have fired them too if I was Joe. Joe is still going to make it and find more ways to succeed in this industry, nothing can stop him.

I’m still going to watch Joe. I can separate the entertainment , hurt feelings, and the business BS. First the entertainment, Joes story telling is what makes the show go in my opinion. Hilarious!!!! And…….he didn’t mind being the butt of Mal and Rorys jokes. Second hurt feelings, Ice and Ish show up now they feelings are hurt. But Mal stated he didn’t care about podcasting? Honestly, I’m trying to think of Mal and Rory podcast highlights. I’ll have to do some research. Third the business, Mal and Rory have every right to see the books. I’m done 🙂

The key piece that everyone is missing is the fact that joe was paying them both more than they made (out of his own pocket) for a year after their Spotify deal. So there was no deal and no profit. I’d be angry too if they are asking me about my books when I’m doing you a favor for over a year. That’s ungrateful and a crappy friend. Period. That’s not a friend to me. You guys, especially the guest, should control their bias a bit. Joe did go about things the wrong way tho in going on air.

*it got boring and disrespectful so it was time for Rory and Mal to do their own thing. together, they are interesting enough to pull interest and succeed and because of Joe, we know who they are so for THAT they should thank Joe. the JBP however is not as thrilling now. we barely know Ice and Ish and what they're about. i think Joe should join forces with the other 2 girls on his network and just have it be all 6 of them so its a spirited, rowdy debate with male and female perspectives......and the men around him can check him when hes alil too flagrant with the chickies -**____________**-*

If you go back and listen he said ( Rory your in breach of your contract and therefore you are fired and not welcome back). As a lawyer what does that mean when somebody uses that type of the legal jargon to fire somebody. He fired rory he didn't fire Mal just left. Is it possible Rory did breach his contract?

Also, your statement regarding revenue coming in and immediately being divvied up is just objectively incorrect as well. If (as everyone has already admitted to be the case) Joe is fronting all the expenses for the podcast and incurring expenses on behalf of the podcast then there will be future expenses required to be paid over the 2 year term they had signed with Spotify. To require the revenue received (the advance in your words) to be immediately split up amongst the profit participants immediately upon delivery would defeat the purpose of the profit sharing agreement because it would be splitting gross revenue as opposed to adjusted gross revenue or net income that was agreed upon. Again, this was totally brushed over and you asserted that in your experience that is was typical for revenue to be split immediately as opposed to after expenses throughout the entire term. I enjoy your content as a law student but just think you need to be more precise with your words and owe it to your fans who look to you for a legal prospective to make sure you’re getting it right.

The standard practice is to pay for expenses off the top, and proceeds are split thereafter. The only way your position would be correct, is if the contract allowed a reserve of funds for future expenses (so meaning, a hold-back had already been agreed to up front by the parties). Neither side has claimed this, but if there was a reservation provision, it would still only be a small amount, say 20%-25%, of the advance, pursuant to industry standard. So as it relates to a $400k advance, a 25% reserve would be $100k, and the $300k would have been split amongst the profit participants. Again, neither side has specifically claimed this, and it sounds like Joe held back the entire $400k, which is likely in breach of the parties' agreement, no matter how you slice it :)

If you watched the podcast immediately after Rory and Mal left permanently, Joe's manager discusses that when the profit sharing agreement was first discussed Rory and Mal wanted projections made on the expenses associated with the podcast so that they could understand what their share of the profits might be after all expenses were paid during the term of the agreement (to make projections on their own personal bills that would have to be paid). They go on to explain that they gave these projection to Rory and Mal and that was what they were agreed to be paid until true profits were realized, specifically because Joe would still be fronting all of the expenses of the podcast when they moved forward with the deal as he had done since the beginning of the show. This is also the exact explanation for why Joe and the rest of his team states that Rory and Mal are overpaid, because he paid them off projections of what he thought the expenses might be over the period of the term with Spotify. Turns out as Joe, his accounting team and the rest of his team state, they overpaid Rory and Mal because the anticipated expenses were actually lower than the actual expenses incurred and Rory and Mal confirm they believe this to be true in their response video. The only way your position would be correct is if, there were not going to be expected future expenses during the term of their agreement with Spotify which we know not to be the case because Joe has employees he pays to keep the podcast running. A perfect example of this would if 3 band partners who had a profit sharing agreement amongst the group where one band member would front all expenses for the band in return for a higher percentage of profits and then the band received an advance from a label in the amount of $100K. For arguments sake lets say the profit splits were 50-25-25 with the 50% going to the band member paying the expenses. They wouldn't be able to spit the gross revenue right after receiving it because they would still have to pay production fees (music production, recording, mixing and master) for the project from the advance associated with the project, they cannot simply pay for expenses off the top until the entire project is finished which at the very least would take months and potentially years. If they simply paid out all 3 band partners immediately after receiving the adanvce then there would be no capital left to pay for the production costs associated with the project. The band member who fronted all expenses for the band would have to come out of pocket for the production fees. For arguments sake lets say that its a 10 track album and for all production costs lets say each song out the door costs $2500 a piece. That would be a total of 25K (10 tracks x $2500= $25K). Instead of the splits being 50K-25K-25K the splits would end of being 25k-25k-25k and the profit sharing agreements purpose would be defeated because the band member who was coming out of pocket for years before the advance and now being forced to come out of pocket after the adanvce would have his profits depleted because of how the agreement was executed. This is not common practice and not how business would be conducted within the entertainment industry with profit sharing agreements. They would have to either make projections on future production costs and pay the band partners accordingly or wait to be paid out until true profits are realized. So when you say that standard practice is to pay for expenses off the top and then immediately pay out proceed thereafter, this is just not the case and you should be more precise with your words. Also, both Rory and Mal and Joe have made statements confirming exactly this and also Rory and Mal have stated they believe they were overpaid because Joe paid them out on projected expenses. So when you say that neither side has claimed this, that is just an objectively incorrect statement. Why would Rory and Mal admit to being overpaid, why would projections need to be made on expenses throughout the term if revenue were to be split directly after receiving the adanvce without consideration of future expenses? That analysis just just doesn't make sense. Also, I don't think you understand the discussion regarding the 400K error. That was never discussed as if that were the total advance from Spotify just an error that everyone involved agreed was an error. I don’t mean to come off as harsh but I love legal content that involves contemporary issues going on throughout the world but I think that you owe it to the legal community to make sure you are getting it right or least making correct conclusions with the information we have. Love your content don’t stop just keep getting better (:

Kind of a shame the guest you brought on has a bias. Speaking on his time in slaughterhouse like it was simply him trashing em. They have all openly spoke about not having certain control nor the features they expected in good faith. Joe decided to leave then gave a poor review resulting in friction. Then it became a big issue.. The rest of his take is very bias.
