Can you approach wholesalers with a dormant company?

I set up my private limited company in April 2023 but have never traded. Will I be penalized for not notifying HMRC within 3 months of registering my business?

In the strictest terms, normally no. However, if you don't let HMRC know within 3 months then you may not be able to report the company as dormant to HMRC for that financial period. As a result, you will need to complete a corporation tax return which if not completed will result in the company being penalised.
