Yes. Iranians can own an LLC or Corporation in the United States and manage the business from outside the US without a visa, so long as the company complies with the Iranian Transaction Regulations, 31 CFR Part 560 (2011), the ("ITR") enforced by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC"). What if you're a US citizen, but do not want your SSN connected to your EIN? How do you ensure your business is taxed separately from you? Would you recommend still filling out the SS-4 form?
@Subhanlaw2 жыл бұрын
Hi there. An SSN and EIN are not "connected." They are separate and distinct identifiers, the SSN is used to identify you personally and the EIN to identify your business. Also, a U.S. citizen does not need to file form SS-4 and can apply for an EIN online. In addition, an LLC is a pass-through entity and all income is reported on your personal federal tax return, along with a Schedule C. An LLC can be taxed as a disregarded entity, partnership, corporation, or S-corporation. You may also consider forming a corporation. Consult with a business attorney to determine the best type of entity for you and speak with a tax advisor to determine the best tax classification for you. We focus on helping foreign entrepreneurs and investors with business formations, immigration, and taxation. Unfortunately, we would not be able to help you. Please contact a business attorney who helps U.S. citizens and a tax advisor for more guidance. Hope this helps.

Hi Shoubhik, That's great! When you come to the 🇺🇸 on a F-1 student visa, you can own a U.S. LLC, but you cannot work for your own company without "work authorization." While in school, you could appoint a manager to operate the business on a daily basis. You can work for your own company on OPT, if you have the proper licenses and the business is related to your degree. Here is the exact language "Self-employed business owner. A student on OPT may start a business and be self-employed. The student must be able to prove that he or she has the proper business licenses and is actively engaged in a business related to the student’s degree program." STEM OPT students may also own and operate a company, if the student can show an "employer-employee" relationship under the law. We'd be glad to help you establish your company in the 🇺🇸 and make sure your in compliance with immigration law. Book a call with me here subhanlaw.com/book-call-page

Hello, thank you fir the video. I subscribed for more videos. I have a question. I know an agency in my country who is getting a U.S visa for people for a year. My question is can you extend your visa somehow when you are in the US or do you need to come back after the visa expires? If yes, what are the ways?
@Subhanlaw Жыл бұрын
It is possible to extend "status" from within the U.S., not a visa. Visas are only issued through U.S. Embassies/Consulates outside the U.S. A visa allows a foreign national to enter the U.S. on a certain "status" and each status carries certain obligations. For example, a person entering on F-1 student status must continue attending school full-time or otherwise lose status. Therefore, once a person enters the U.S. on a visa in a specific status, then it may be possible to extend such status depending on the particular circumstances. Can an LLC be structured exactly like this, which then pays the managing member 10% of the total proceeds as a consultanting fee and then only be taxed on the managing consultants 10% wage?
@Subhanlaw Жыл бұрын
Hi there. Let me provide some clarification. A U.S. LLC is a "pass-through" entity and the LLC is not taxed unless it chooses to be taxed as a corporation. If taxed as a "disregarded entity" or "partnership", then each member may be taxed on his or her distributions and share of net profits. The U.S. LLC if owned by a foreign national may be established as a "tax-free" LLC if it meets certain requirements. Therefore, generally the LLC is not taxed, the owners may or may not be subject to tax depending on the circumstances. In your scenario, the 10% management fee would be considered a distribution or an expense depending on the circumstances and the other 90% would be net profits. To discuss your options in more detail and tax considerations, book a call with me here subhanlaw.com/book-call-page

Hi, thank you for this awesome video, but i still don’t get it, is the LLC a business license? Or do i have to get a business license after getting an LLC, because i need a business license id so i can creat business accounts and advertise my products in the us.
@Subhanlaw Жыл бұрын
Hi there. Thank you for your feedback. I'm glad you found the video helpful. Also, I'm happy to provide clarification. An LLC is a "limited liability company." The LLC is formed in a U.S. state or territory. It offers ease of use, avoids double taxation, and limits personal liability. An LLC is a business entity. A business license is something separate from an LLC. An LLC can apply for licenses, permits, banking and other accounts, if needed. Depending on the type of business a license may or may not be needed. For example, you do not need a business license to open a U.S. bank account or Amazon FBA account, etc. To learn if your business needs a license to operate in the U.S., book a call with me here subhanlaw.com/book-call-page

Recommending an LLC to foreigners is not always the right choice. If you're Canadian, you will be double taxed. In that case, you would form a corporation in Canada and then have that corporation register a C-Corp in the US. If you register an LLC, you're screwed.
@Subhanlaw3 жыл бұрын
Generally, LLCs are the preferable choice for most entrepreneurs including from Canada. Entrepreneurs from Canada may be able to deduct "foreign tax credits". They may also be eligible for Treaty Benefits in some instances. Furthermore, there is one US jurisdiction that a Canadian entrepreneur can form an LLC and be 100% tax free in the US, if all revenue is made from outside the US and there is no FATCA, CRS, or OECD reporting requirements. We help clients with formation in this location which is not revealed in my videos. The business structure you stated would be subject to double taxation because "corporations" are subject to double taxation. With the structure you mentioned, income of a U.S. corporation would be subject to 21% corporate tax at the federal level, may not be subject to state tax if established in Wyoming, Delaware, etc., any dividends paid to shareholders would also be taxed at the federal level, such income may be sheltered from Canadian taxes until repatriated to Canada. Hence, owners of US corporations are subject to the federal corporate tax rates, capital gains rates, and personal income taxes or double taxation. Also, upon repatriation, there may be another level of taxation in Canada. US LLCs are treated as "corporations" for Canadian tax purposes, but "members" may be afforded Treaty Benefits and foreign tax credits, along with other potential tax strategies. LLCs avoid double taxation in the US and if taxed as a disregarded entity or partnership, then there are legal ways to minimize your taxes in the US and Canada. For example, we help clients from Canada establish a foreign trust and the foreign trust owns the US LLC. The US LLC income flows through to the trust. The trust then can make a "capital distribution" to the Canadian citizen/trust beneficiary. "Capital distributions" from foreign trusts may not be taxable in Canada. Now you see there are many paths to legally minimize taxes in the USA and Canada with the use of LLCs and sometimes other international planning vehicles. It's all about getting guidance from an experienced lawyer and accountant who both understand international business formation and international tax issues. Hi Dana. Yes. You can open a cleaning business in the U.S. from the Philippines and have a person in the U.S. manage the daily operations. Book a call to discuss your options further and we'll advise you on the best options for your business including: deciding between a member-managed LLC vs manager-managed LLC or C-corp, and whether or not to have your relative be an employee or independent contractor and the tax implications subhanlaw.com/book-call-page

What about someone like me by example, i have a B1/B2 visa and i wanna open an LLC can that help me to have a residency or a green card when im moving to the US? Thank you for your reply🙏🏽
@Subhanlaw4 ай бұрын
Yes. A person on B1 or B2 status can open a US LLC or C-corporation and engage in "preliminary startup activities" such as forming the company and opening a bank account. A person on B1 or B2 status cannot work for a U.S. company while "within" the U.S., unless he or she has work authorization. You can manage the company overseas without a work visa. Loved your information 👍 I am from India so, can I start a youtube channel in USA without green card ?
@Subhanlaw3 жыл бұрын
Hi Vinod. Glad you found the video helpful! Also, you can start a U.S. business from India. In addition, you can run a KZbin channel from India with a Google account. To work in the 🇺🇸, you need "work authorizarion." Generally, to work in the U.S. an Indian citizen will need a work visa. See my video on 5 entrepreneur visa options that may apply to KZbinrs here kzbin.info/www/bejne/g3u6mY2Coph-o9U

Hi, I am glad I found this video! I have a question. I want to start investing in real state. Since I will have properties in the states, so I need a resident visa? I only have a tourist visa.
@Subhanlaw3 жыл бұрын
Foreigners can invest in real estate in the USA 🇺🇸 without a visa if outside the U.S. and under any visa within the U.S. You can buy and invest in real estate while on a tourist visa. However, you cannot engage in work while in the USA under a tourist visa. If investing in U.S. real estate, you'll be subject to FIRPTA, unless you hold the property in a U.S. entity such as a U.S. LLC. We'd be glad to help you form a U.S. LLC for your real estate investments. Book a call with me here subhanlaw.com/book-call-page

If the U.S. company is a subsidiary of any foreign company, then you can operate the business from outside the 🇺🇸 without a U.S. visa. However, if you want to run the day to day operations from within the USA 🇺🇸, then you'll need a U.S. visa. We'd be glad to help you form your U.S. subsidiary. If I start a company and live in the US as a non-citizen, but I just cook at home and sell deliver food to restaurants for them to sell it at the restaurant, do I need a visa ? Just a one man company, how do I invoice and collect the check without having to get a visa ?
@Subhanlaw2 жыл бұрын
You can start and own a company in the USA, but you cannot work for your own company unless you have work authorization. You need work authorization to sell food. USCIS considers where an individual provides services or labor for remuneration including compensation, housing, or other benefits to be "employment." Therefore, you would need to hire a manager to run your business or you would need to apply for work authorization or a legal status that provides works authorization in order to work legally in the U.S. Book a call with us to discuss your options further subhanlaw.com/book-call-page We help global entrepreneurs with business formation and immigration.

Hi thanks for the vedio i ' m very confused if i will start amazon fba business with LLc or with c crop could you please advsie about the below query if it is True or False about ( tax deduction of up to 30%) "Federal taxes do not recognize LLCs, and therefore classify them according to their ownership.If the LLC is owned by one person, it is treated as a neglected entity and This causes US companies like amazon to treat you as a foreigner even if the contract was made with your US company or your account Or your account with them is registered in the name of the company and not a personal account in your name This therefore results in a tax deduction of up to 30% when sending profits to foreigners, or, in other words, even if The money was sent to the company's bank account in America."
@Subhanlaw2 жыл бұрын
Foreign nationals can start a company in the 🇺🇸 and sell products through FBA Amazon. Also, LLCs may be taxed as a disregarded entity, partnership, C-corp, or S-corp depending on the circumstances.There is even a way to setup a tax free U.S. LLC under certain criteria.I'd recommend that you book a Zoom call with us to make sure you get the right legal advice. Hi Is it allowed for one to be buying products and start selling them to your home country ? How does it work? Are there any restrictions to your bank limits?
@Subhanlaw3 жыл бұрын
Hi Joseph. Yes. You may start a US LLC and it can be involved in importing and exporting, except certain prohibited items designated by the U.S. Customs and Border Patrol ("CBP"). In regards to the process, it depends on your business model. Lastly, please contact any U.S. bank directly to discuss eligibility.

If you are a South African citizen providing freelance marketing services to a client in the U.S. while living and working in South Africa, and your business is registered in the U.S. with a U.S. tax number (such as an EIN) how this works in terms of tax
@Subhanlaw6 ай бұрын
Yes. A South African can manage a US LLC from South Africa and it may be able to operate tax-free under certain conditions. Even if a U.S. LLC owned by a foreign national can claim a tax-free exemption, the LLC still must file an "informational return." Please book a call with us to learn more here subhanlaw.com/book-call-page

Good video, thanks but what about 1040-NR? Shouldn't non resident single proprietor LLC owner fill this form too?
@Subhanlaw3 жыл бұрын
Thanks Mehrdad! Glad you found the video helpful. Also, a single member LLC taxed as a "disregarded entity" may be required to file a 1040NR and W-7, if the foreign national is living outside the US. You'd need to speak with a tax advisor to determine if you'd need to file these additional forms. These forms may or may not be required depending on your circumstances.

Can a U.S. domestic LLC (Texas-registered) do business outside the United States? What are the requirements? which section(s)/clause(s) related and advocate this in the state law or federal law?
@Subhanlaw3 жыл бұрын
Yes. Any U.S. LLC can do business within the state that it's organized and all 50 states if properly structured as well as internationally.
