Hi Shoubhik, That's great! When you come to the 🇺🇸 on a F-1 student visa, you can own a U.S. LLC, but you cannot work for your own company without "work authorization." While in school, you could appoint a manager to operate the business on a daily basis. You can work for your own company on OPT, if you have the proper licenses and the business is related to your degree. Here is the exact language "Self-employed business owner. A student on OPT may start a business and be self-employed. The student must be able to prove that he or she has the proper business licenses and is actively engaged in a business related to the student’s degree program." STEM OPT students may also own and operate a company, if the student can show an "employer-employee" relationship under the law. What if you're a US citizen, but do not want your SSN connected to your EIN? How do you ensure your business is taxed separately from you? Would you recommend still filling out the SS-4 form?

Hi there. An SSN and EIN are not "connected." They are separate and distinct identifiers, the SSN is used to identify you personally and the EIN to identify your business. Also, a U.S. citizen does not need to file form SS-4 and can apply for an EIN online. In addition, an LLC is a pass-through entity and all income is reported on your personal federal tax return, along with a Schedule C. An LLC can be taxed as a disregarded entity, partnership, corporation, or S-corporation. You may also consider forming a corporation. Consult with a business attorney to determine the best type of entity for you and speak with a tax advisor to determine the best tax classification for you. We focus on helping foreign entrepreneurs and investors with business formations, immigration, and taxation. Unfortunately, we would not be able to help you. Please contact a business attorney who helps U.S. citizens and a tax advisor for more guidance. Hope this helps.

The LLC is formed in a U.S. state or territory. It offers ease of use, avoids double taxation, and limits personal liability. An LLC is a business entity. A business license is something separate from an LLC. An LLC can apply for licenses, permits, banking and other accounts, if needed. Depending on the type of business a license may or may not be needed. Hi Ali, I'm an Egyptian citizen and want to start a web design business that works mainly with U.S. clients and small businesses. I don't really care about where I'll incorporate or register this business... It'll be just me doing everything. What's the best setup? I can't have employees in the U.S. and can't afford to pay salaries or hire anyone; at least at the very beginning. I also heard that LLCs file their tax returns every quarter, and not on a yearly basis. Is this true? This will come at a price tag of a few hundred dollars every few months... If so, what's the best way to avoid such a thing (another type of setup, perhaps) Also, let's say I found the best setup and I went ahead and did everything and had a business bank account with any bank (physical or virtual), and I'm the only one working on the business, would I be in trouble for wiring money from my business account to my personal account? Last question... If I want to outsource some of my work in the future and work with a few individuals (none of them will be a U.S. citizen), would there be any way to list their salaries as business expenses? Recommending an LLC to foreigners is not always the right choice. If you're Canadian, you will be double taxed. In that case, you would form a corporation in Canada and then have that corporation register a C-Corp in the US. If you register an LLC, you're screwed.

Generally, LLCs are the preferable choice for most entrepreneurs including from Canada. Entrepreneurs from Canada may be able to deduct "foreign tax credits". They may also be eligible for Treaty Benefits in some instances. Furthermore, there is one US jurisdiction that a Canadian entrepreneur can form an LLC and be 100% tax free in the US, if all revenue is made from outside the US and there is no FATCA, CRS, or OECD reporting requirements. We help clients with formation in this location which is not revealed in my videos. The business structure you stated would be subject to double taxation because "corporations" are subject to double taxation. With the structure you mentioned, income of a U.S. corporation would be subject to 21% corporate tax at the federal level, may not be subject to state tax if established in Wyoming, Delaware, etc., any dividends paid to shareholders would also be taxed at the federal level, such income may be sheltered from Canadian taxes until repatriated to Canada. Hence, owners of US corporations are subject to the federal corporate tax rates, capital gains rates, and personal income taxes or double taxation. Also, upon repatriation, there may be another level of taxation in Canada. US LLCs are treated as "corporations" for Canadian tax purposes, but "members" may be afforded Treaty Benefits and foreign tax credits, along with other potential tax strategies. LLCs avoid double taxation in the US and if taxed as a disregarded entity or partnership, then there are legal ways to minimize your taxes in the US and Canada. For example, we help clients from Canada establish a foreign trust and the foreign trust owns the US LLC. The US LLC income flows through to the trust. The trust then can make a "capital distribution" to the Canadian citizen/trust beneficiary. "Capital distributions" from foreign trusts may not be taxable in Canada. Now you see there are many paths to legally minimize taxes in the USA and Canada with the use of LLCs and sometimes other international planning vehicles. It's all about getting guidance from an experienced lawyer and accountant who both understand international business formation and international tax issues. Hi there. Let me provide some clarification. A U.S. LLC is a "pass-through" entity and the LLC is not taxed unless it chooses to be taxed as a corporation. If taxed as a "disregarded entity" or "partnership", then each member may be taxed on his or her distributions and share of net profits. The U.S. LLC if owned by a foreign national may be established as a "tax-free" LLC if it meets certain requirements. Therefore, generally the LLC is not taxed, the owners may or may not be subject to tax depending on the circumstances. In your scenario, the 10% management fee would be considered a distribution or an expense depending on the circumstances and the other 90% would be net profits. You can start and own a company in the USA, but you cannot work for your own company unless you have work authorization. You need work authorization to sell food. USCIS considers where an individual provides services or labor for remuneration including compensation, housing, or other benefits to be "employment." Hi Nekkanti. Thanks for your question. After forming a U.S. LLC, you can raise capital from angel investors or venture capitalists. Please note that when raising capital within the U.S. the LLC must structure the deal/offering to fit within one of the regulatory exemptions if it wishes to avoid having to register the offering with the Securities and Exchange Commission (SEC). When raising capital in exchange for equity, you are offering a "security" and therefore must structure the deal appropriately. Companies most commonly use Regulation D to raise capital from U.S. and foreign investors. Regulation S may also be used for overseas investors. Both regulations offer an exemption from registering the capital raising offering with the SEC. Therefore, to raise capital, you'll need to form the company properly, have an excellent roadmap, an experienced team with a proving track record of execution, and have legal documents prepared such as such as Term Sheets, SAFEs, etc. to raise capital. I am confused.... Aren't there are more than "2" business/company types foreigners can form. What about LLPs and LPs? Also, to my understanding, isn't any business activity, that doesn't require you to be physically located within the US permissible? You seem to suggest that any "active" business work requires you to be in the US, which off course requires a visa. Can you clarify?

Hi Taj. Thanks for your question. I'm happy to provide clarification. The two most common types of businesses that foreign nationals form in the U.S. are corporations and LLCs. There are other forms of businesses entities such as sole proprietorship, general partnership, limited partnership, S corporation, decentralized autonomous organization, and others. Also, any work by a foreign national being done from within the U.S. requires a U.S. visa. This means if the foreign national is present and in the USA, then s/he will require a visa. However, you can own a U.S. business and perform all work outside the U.S. and that does not require a U.S. visa. Hope this provides clarification. Why would you recommend an C-corp instead of an LLC for non-citizen? I have someone (non-citizen) interested in doing business in USA, but they have a Brazilian company. Some of the exporting fees make it difficult to keep the business going, therefore he is looking into a different approach.

Hi Andre. It depends on the foreign entrepreneur's or investor's objectives. Some advantages of the C-corp include: (1) investors may not have to file US personal income tax returns, (2) 21% flat rate tax on profits rather than up to a graduated rate of 37%, and (3) may be able to avoid double taxation if US treaty applies on dividends. The best business entity for a foreign national or foreign company or foreign trust depends on various factors, including the size and nature of the business, profits, number of employees, and whether the foreigner plans to immigrate to the U.S. We'd need to speak with the foreign investor and you directly to determine which structure would be the best option.
