Meaning the owners of the company are actually the people invested in the funds. The fund managers are also the managers of the company. This helps to prevents conflicts of interesst because the owners of the fund own Vanguard and will always vote in the interesst of the fund owners. If you compare it with Blackrock, blackrock is owned by shareholders, althought you have to say that Blackrock is also owned in part by their blackrock funds (3rd biggest owner are blackrock funds) so yeah

I've only done some preliminary research and plan to do more. I began investigating who makes face masks for an article for my blog. I wanted to take a different route of investigation to the trendy sheep. The short of it is that they ALL own shares in each other. Vanguard and Blackrock own shares in almost all the manufacturers. We are talking the big names too. Blackrock owns shares in Vanguard and vice versa. At first, it looks okay, but they are literally all cross owned. This forms a very powerful alliance bigger than any one of these companies. I just saw that Blackrock was called in by the government to sort out the 2008 mess. Ironic that a company that helped to create this recession was asked to come in to fix it. It became even richer while many went bankrupt. They also both own the biggest stock percentage of private prisons in the US. So they can stick you in there if they think you're a nuisance.

Shareholders might think their vote matters, but institutional investors have the majority ownership in most companies, and there are way too many choices to decide on every single little thing. So, easiest way to outsource it is to just let the board rec take priority. There are only very specific situations where they can't auto-vote, and those singular items are where shareholders can make an actual impact.
