The company that cut her throat and bid on the job themselves simply showed their true colors early in the game. There's something called chivalry, she showed them the game. She was honest and transparent, and they took advantage of her honest and good nature. They should have kept her for that contract, when it was fulfilled then they could have branched out on their own. A simple but effective written contract signed by both parties might have prevented them from cutting her out. Maybe state that they must use her for a middleman for 3 contracts before branching out on their own.

Maybe what was done was immoral but it wasn't illegal. It's just business and she didn't lock them in with business documents. Why would I let someone else get money that I can get myself? I applaud them for even doing the paperwork because it's a tedious process. It's admirable that they were able to do the leg work.

When implementing a contract agreement, don't just state what the agreement includes, but be sure to state what it does not include also.

I think they're saying make sure you specify what the contract doesnt include so theres no confusion. You want to specify what's included and what's not included so both parties are aware and understand exactly what they're signing up for.

business is business and that sucks that the one gentlemen wanted to move forward without you - you should have renegotiated and asked for a success fee if he got the contract... for the duration of the contract , if he gets the options years, you need to be compensated for it... however congratulations - you are going to rock in this space -- I have next :)

But you have to setup all the details before you can start, like a business license, business account and business insurance. Her stuff focus on where to find contracts and how to pursue em. A little on invoicing but not on filing taxes.
