I’m looking to start an llc in Massachusetts for junk removal but I live in New Hampshire. Is there any way to get an LLC and EIN without owing property in Massachusetts? Other then meeting the requirements I have no reason to spend the money on a property for the business. thank you.

To benefit from the liability protection an LLC offers, business owners who operate in one state but run the business from another state will almost always need an LLC in each state. One would be "domestic" and the other would be "foreign". This is because these activities create "nexus" in each state and with nexus comes the ability for others to bring a lawsuit in the state's court. It could be that New Hampshire or Massachusetts do not historically fall into this category. That said, it's best to consult with a business attorney to be absolutely sure.

Thanks for the question! It's going to depend on the guidelines in the operating agreement -- is the member qualified to be removed, is a majority vote needed, does the member needs to submit a formal withdrawal letter (if voluntary) is there a buyout agreement procedure, and what are the new ownership percentages are, and what are the grounds for removal (if involuntary)? If that member has authority to sign documents/handle financials, updates will need to be made with the applicable institutions. The same goes for adding a new member -- is the new member qualified, is a majority vote needed, what their ownership percentage will be? If there isn't an operating agreement, business owners need to defer to the state's standard procedures. Those can be found here: malegislature.gov/Laws/GeneralLaws/PartI/TitleXXII/Chapter156C After the procedures above are followed, the LLC owner will need to file a Certificate of Amendment to the Certificate of Organization to update the members.
