It's going to depend on the guidelines in the operating agreement -- is the member qualified to be removed, is a majority vote needed, does the member needs to submit a formal withdrawal letter (if voluntary) is there a buyout agreement procedure, and what are the new ownership percentages are, and what are the grounds for removal (if involuntary)? If that member has authority to sign documents/handle financials, updates will need to be made with the applicable institutions. The same goes for adding a new member -- is the new member qualified, is a majority vote needed, what their ownership percentage will be? If there isn't an operating agreement, business owners need to defer to the state's standard procedures. Those can be found here: malegislature.gov/Laws/GeneralLaws/PartI/TitleXXII/Chapter156C After the procedures above are followed, the LLC owner will need to file a Certificate of Amendment to the Certificate of Organization to update the members.
