Maxwell FINALLY proposes to Fran!
From Season 5 Episode 15, 'The Engagement'. Maxwell is ready to propose to Fran and thanks to Niles, Fran and everyone else already know. At the big announcement dinner everyone is there except Maxwell who is still at the theatre. It turns out that Maxwell got mugged and the ring has been stolen! Fran goes to find Maxwell who is in a pile of trash. He decides to propose to Fran then and there; of course, she says yes!

That hit close to home. My now husband actually did propose to me very spontaneously. We where just laying in Bed, cuddling and suddenly it overcame him. He asked me if I could imagine beeing his wife someday and I said yes. And then we where like wtf did you just...sorta...propose? Then he popped of this little ring of a club mate bottle and put it on my finger like "Now I do". It maybe sounds lame but it was very spontaneous and romantic and just out of the heart. This sudden realization that we dont want to be appart from each other anymore. We where poor students at the time so a ring wasn't the most important thing.
