Great video! One aspect of the due-diligence process I would like to hear more about: the technical due diligence. In particular, to what degree does the perspective buyer get pre-purchase access to looking at your code and what kind of code review do they do? After all, the code is what they inherit and that isn’t a static creature. They need to take ownership of the code and feel confident they can continue to keep it current, deal with bugs, respond to feature requests, etc. But, on the other hand, the seller needs safeguards to make sure that the code doesn’t leak out without a consummated deal.

Yeah I'd like to know this too. Wouldn't want to buy a software company to find out the software was poorly made and untested.

Excellent video. I just love watching success stories like this. I'm not sure how much information you are allowed and/or willing to share here. But I would love to know more about the process of finding a good broker. I bet there are many out there. How did Derrick decide on which one to use. How was the pricing of the broker structured - fixed fee, percentage, or both.

These days, the sites I would check out for this kind of sale are: Quietlight, FE International, and Acquire.com. And if you’re selling a SaaS doing at least $1M in ARR, hit up Discretion Capital. AFAIK, all of the above take a percentage of the sale, which is the standard approach.
