COMPANY → Mr.Y→ Mr.X Mr. Y can rescind the contract with company. Mr. X can't rescind the contract with company, bcoz he not purchased shares from company directly. He purchased shares from Mr.Y , So Mr.X has not right to cancel contract on the basis of misleading statement in prospectus .
