The name of the LLC Formation Document for the State of New York is called the Articles of Organization. This document is not complicated and it contains basic information, including your LLC's name, your LLC's office address, and the county where your LLC office is located.
There are two ways you can file your Articles of Organization with the State.
You can file by mail or you can file online.
If you file by mail, you will print out your Articles of Organization and then mail them to the State along with a check or money order to pay the filing fee.
If you file online, you will fill out your Articles of Organization on the State's website and then pay the filing fee with a debit or credit card.
The State charges a one-time fee in order to form your LLC.
If you chose to hire a Registered Agent for your New York LLC, you will also list their address in your Articles of Organization.

The filing fee amount is the same for either option. The only difference is the method of payment and the approval time.
If you file by mail, you'll pay the State filing fee with a check or money order, and your LLC will be approved in 1-2 weeks.
If you file online, you'll pay the State filing fee with a debit or credit card, and your LLC will be approved within a few minutes.

Once you submit your Articles of Organization along with the filing fee, the State will review and process your documents. If there are any issues with your filing, the State will contact you and tell you what corrections need to be made.
If you filed by mail and there are no issues, your LLC will be approved in 1-2 weeks.
If you filed online and there are no issues, your LLC will be approved within a few minutes.
Either way, you will receive a Filing Receipt back from the State once your LLC is approved.
This confirms your LLC is now a legally formed business in the State of New York.

Your Filing Receipt will contain your LLC's name, the date filed, and your Department of State ID Number (DOS ID Number).
The DOS ID Number is unique to your New York LLC and you will use it when dealing with the State.
New York does not issue duplicate Filing Receipts, so it's very important to make a photocopy, or two, and keep the photocopy with your business records.

New York LLC Articles of Organization doesn't ask for LLC owners (called "Members"). All LLC Members are set in your LLC Operating Agreement. You can download a template here: www.llcuniversity.com/new-york-llc/operating-agreement/. Hope that helps!

Hey Christina, you're very welcome. As soon as your Articles of Organization is approved you can begin conducting business. Members are not listed on the Articles of Organization. They are listed in the Operating Agreement. You signed as the Organizer, which is a different role. For a really nice paper trail, you can also sign a Statement of Organizer appointing both of you as members (www.llcuniversity.com/statement-of-llc-organizer-in-lieu-of-organization-meeting/). Hey, LegalZoom seems to be hit or miss. Some people have good experiences, others are mediocre. Unfortunately, LegalZoom doesn't offer assistance in the NY newspaper publication requirement. We offer the full service in NY though (filing, Albany address if needed, newspaper ads, Certificate of Publication, etc.). If you stop by our site and send a message, I'll send over the details. I completed the Articles of Organization and decided to chose Northwest as my RA (thus using Albany county); however, in the LLC formation, you say to use "your" address in the Service of Process name, i.e. name & personal address --Then for the Registered Agent section, since I decided to use Northwest RA, I selected their address from the drop down--- My question is, since I used my address in the Service of Process section, will that interfere with the news paper publication? Hi Vanessa, no, listing your address for "address for forwarding of service of process" will not interfere with the newspaper publication requirement as you've listed the county of the office location in Article 1. It does look a little better to have the Albany address listed for service of process, but again it doesn't interfere with the newspaper requirement. A non-profit Corporation is common, but an LLC can also qualify with the IRS under 501(c)(3). We don't work with churches or non-profits much, so I'm not able to guide you very well here. I recommend speaking with an attorney in your state or someone familiar with the process. Apologies I could not be more helpful.

Just called both newspapers, everything in total for the publication will cost me $275-$300 so that is some good news! :) Now i have 2 more questions, 1.) when i fill out the articles of organizations will they tell me when i can publish it? (The llc formation) and when i do go to publish how do i actually do it do i do it through the phone, in person, by email? 2.) My business is an 'online sales' business, where do i get a permit that allows me to buy and sell different products? It depends on the newspaper, but usually sending your ad via email and paying by credit card over the phone is most common. 1.) I put my home address as the service of process address like in the video and filled in Northwest as my registered agent. You can change that address by filing a Certificate of Change: www.llcuniversity.com/new-york-llc/certificate-of-change/. When you say "business address", is that an official term you saw somewhere or something that was mentioned in the video? If in the video, do you have the timestamp? The term business address isn't an official term, so it's meaning can often be ambiguous.

For FDA purposes, you likely can use whichever address you want. We don't deal with the FDA though, so you may want to find out what their definition of "business address" means. Your LLC can technically have multiple addresses... but you'll need to determine which one to use for FDA requirements.

If you'd like to not be on the Articles of Organization, we recommend hiring a filing company to form your LLC. The filing company we recommend will also let you use their address on the New York LLC Articles of Organization. Hi Anthony, you're welcome. We recommend getting a new EIN for your LLC after it's approved. Otherwise, you need to write a letter to the IRS to "move" the EIN from your Sole Proprietorship to your LLC. But getting a new EIN is just easier and makes for less confusing records.

Hi Violetta, you can do either or... just "Service of Process" or both "Service of Process" and "Registered Agent". However, since the "Registered Agent" tab isn't required, it's easiest to just list their address in the "Service of Process" tab. Yes, you can obtain an EIN for single-member LLCs. And no, you would not file an Amendment or Certificate of Change if you add a member. NY does not ask for member information. That is all the internal affairs of the LLC, so that would be coming to an agreement with the new member, signing a new Operating Agreement between the two of you, and then updating the IRS, as your tax status will change from the LLC being taxed as a Sole Proprietorship to the LLC being taxed as a Partnership.

To what degree is it safe to use a street address p.o. box on your NY LLC filing? I’m reading all kinds of things online saying that you can’t do it, it’s dangerous if you’re sued, your box will be terminated by the post office, etc. I really don’t want to pay a registered agent but I don’t want my company to be invalid, either.

You can just use your actual address for the sales tax certificate (not the Registered Agent address you are using for the publication requirement). They won't conflict with each other. Hope that helps :)

You're welcome! A Certificate of Existence is the state certifying your LLC exists (not needed by most people). A Plain Copy and a Certified Copy are both copies of your filed Articles of Organization. The Certified one is more "official" (still, not needed by most). Most people are okay with just the Plain Copy, unless they have specific instructions from some 3rd party that they want a Certified Copy or a Certificate of Existence. Hope that helps!

It's up to you if you'd like to include the statement. It's not required. As per statute, an LLC in New York may be used for any and all lawful purposes.

I've been watching & reading, lots of great info here. I am concerned about privacy. Since the AOO will be public record. 1. Does that mean the entire document can be viewed once filed? I plan on using a commercial registered agent. 2. 1. Yes, entire document is public. 2. You could use the address of the Registered Agent company if they allow it. Check our site for some recommendations on companies that do. 3. Honestly, not really. All you'll get is junk mail sent to that address. You can use the Registered Agent if they'll allow it. 4. I recently got a "LLC request for information" from the "New York State Department of Taxation and Finance". It is requesting general information about the LLC such as address, federal tax election, ein, member information etc. I have questions regarding 2 of the portions in this form. In terms of the part where it says New Address information, I did not start the publication requirement, but they are requesting a) business mailing address and b) Business physical address. I am going the northwest registered agent route in albany, would I have to put their address or my own nyc address for my mailing and/or physical address. Would the nys department of tax and finance, and NYS DOS be in communication with each other? In terms of the federal tax election, If I formed the LLC with another member (2 members in total), would I have to put corporation, partnership, or other??

1. You can use whatever address you'd like on this form. Most people use their best mailing address here. We haven't seen any issues with what you mentioned re: communication between the two agencies. But as a disclaimer, we're not the state, and cannot guarantee anything. 2. By default, a multi-member LLC will be taxed like a Partnership by the IRS. And the NY Dept. of Taxation will tax your LLC in the same manner which you elect federally with the IRS. Alternatively, you can elect C-Corporation tax status or S-Corporation tax status by filing with the IRS, and then denoting that change on the LLC/LLP Request for Information form, but you'll need to speak with an accountant or two about what is best. There are a lot of details. Far to many to squeeze into a youtube comment. If you're not sure (and because the form is due 15 days from the stamped date), you can elect "Partnership" now and make changes later as your business grows and if needed.

Hi Danielle, are you going to be doing business in NY or in PA? If you're doing business in NY, then you can form an LLC there and the residency does not matter. If you are forming an LLC in NY, but want to operate that LLC in PA, you'd then be looking at an additional Foreign LLC (or vice versa).

But do keep in mind that there is a newspaper publication requirement, which can be quite high if your address is in/near the 5 boroughs. Typically, the agent for service of process and the registered agent are one and the same, but NY is weird in that, by default, the Dept. of State serves as the agent for service of process unless you hire a Commercial Registered Agent. It's kind of confusing in NYS. Sorry about that :( You don't have to use your home address... it just has to be a street address in NY (no PO Boxes), such as your home office, family member's address, friend's address, or the address of a Commercial Registered Agent (if you hire one). Hi Star, no, it is not required in New York. By default, the NY Secretary of State will receive Service of Process (legal mail, subpoena, summons, complaint, etc.) on behalf of your LLC and then forward to you. We mention the Commercial Registered Agent throughout some of our videos as a strategy to save money on the NY newspaper publication requirement for those who live in expensive counties, such as any in/around the 5 boroughs.

Yes, there are no citizenship or residency requirement to owning an LLC in New York. Technically, LLCs don't have shares. Hi Normel, I'm not sure if you just mean google search results or Google My Business (map listings/placements). The later requires a manual submission and creation of the account/profile. Anything on your LLC Articles of Organization will become public record and the NY DOS website is scraped by other sites and then ultimately that information can get indexed and appear in google. If you file the Articles of Organization online, the system wants a person's name. If you file by mail, you just need to enter an address for the forwarding of service of process. And yes, no Registered Agent is required in NY as the DOS serves as the Registered Agent for all LLCs. Although you can also hire a Registered Agent if needed for publication in a specific county's newspaper. We have more info on our site about that. Hope that helps.

A Certified Copy is a copy of the Articles of Organization. A Certificate of Existence is a letter where the state basically says "This LLC is formed and in good standing". Neither are required. We only recommend getting one (or both) if you've specifically been asked for them from an organization or agency (for example, a lender b/c of financing). You can get these later if needed, too. Hi Anthony, are you filing your LLC online or by mail? Since you'll be the one sending the ad copy to the newspaper, and because there is only one address used in the newspaper ad, you control what is listed by the email you send to the newspaper. Check the link I sent in my last email for full details. Back to the Articles of Organization, you only need to use your PO Box address + list Ulster County. You won't need to use your family's address at all. Hope that helps.
