Hey Dean idk why I'm getting hung up on a question that says if IA's only give advice on securities issued or guaranteed by the u.s government it is excluded as an IA. So my question is, if the IA is giving advice on "exempt securities under USA, does that make them not an IA?

Under the USA for exempt transactions is it between issuer and under writers? Or if you are an issuer or underwriter you are exempt?

It is the transaction not the participants that are exempt
