hey dean, im trying to put this into words i can understand, please let me know if this looks correct: - securities are considered unregistered when: they come from exempt issuers or occur in exempt transactions - securities can be unregistered and nonexempt ONLY if they occur in an exempt transaction -once registered, securities can fall under Federally covered when new issued stock/ new Mutual funds and do not have to register again -Securities can be unregistered and exempt ONLY when they come from exempt issuers Thank you and appreciate the videos!

Hey dean, i got a question about Registration statement being effective, I put that its effective at noon of the 30th day after filing. That is wrong and the right answer is "when the administrator says so. If this was for coordination would my answer of "at noon of the 30th day after filing" be correct?

That is an insurance company as an issuer of securities not an insurance product like whole life or fixed annuities which are not secrities
