Sole proprietorship is recommendable, since the official receipts declared by the OWNER-sole proprietor is compliant with the requirements of a Sole proprietorship, when he or she has a business that does not exceed the limit of his/her registration at BIR for his SOLE only Business and it is attested by DTI requirements and permits, including health code inspection/DOH-Certification for food business and medicines and most health related businesses as declared by his/her receipts, while SINGLE CORPORATION pertains to MULTIPLE BUSINESS that is named after the Individual, example, Mr.Halimbawa has VAT registered Restaurant, a NVAT registered bookstore and a VAT registered supermarket, ALL of these businesses pertains to a SINGLE PERSON/Individual that consist the SINGLE CORPORATION, these businesses has to be registered under SEC rule, with Articles of Incorporation and the sole signatory, inclusive of the stipulations, legal and business. The VAT that the individual is to use, is ONLY 1 registered VAT TIN number. The Articles of Incorporation consists of the businesses that the said individual has or holds, subject to TAXATION in its profits/sales and purchase expense declaration. The Sole proprietorship is designed for 1 business entry only and that it can grow as well based on the expertise of the OWNER until such time it becomes big or has decided to have a partner or engage in partnership, but most prefer to have SOLE PROPRIETORSHIP.*******IMPORTANT*********

Thank you for your feedback. However, I would like to emphasize as well that 1 TIN is equivalent to 1 tax category. What I mean, mapasingle prop or OPC man ang negosyo mo you cannot have VAT and NonVAT tax categories in 1 TIN. Ang pagkakaron ng multiple businesses will not depend kung anong business structure ang gagawin mo sa negosyo mo. Pero definitely you cannot have multiple businesses in OPC if magkakaiba sila business industry. You cannot have medical clinic, a restaurant, a beach resort, and milk tea house in 1 OPC, dahil magkakaiba yan ng industry, for sure it will get rejected by SEC. If ganyan ang businesses mo, you need to register each business para sa kanya kanya nilang industry at magkaron din sila ng kanya kanyang TIN. While in SOLE PROP, you can have multiple businesses dahil you can register multiple DTIs under your TIN, ang nag iisa mong TIN. You can have a restaurant, a laundry house, a construction supply store, a beach resort and many more with different DTI, different Mayors Permit but under in 1 TIN, pero ang dulo magbabago kung ang una mong store ay restaurant ang end ng TIN mo will be 000 then next negosyo mo ay laundry house same TIN but ang dulo ay magiging 001, so on and so forth. Remember, hindi ka pwede magkaron ng 2 tax categories in 1 TIN. *******CORRECTION*******

Based po sa sinabi ninyo na negosyo ang pwede lang po dyan pagsamahain ay ung restaurant at cafe since magiging under po xa sa restaurant industry while ung laundry shop totally different industry po xa. About doon naman sa mother company, ang ibig niyo po bang sabihin is parang Group of Companies? It is impossible po na to have 3 different business industry in 1 OPC. If OPC po wala na po dividend na paghahatian since 1 lang po ang stock holder. Mas ok po na open muna OPC before closing po ung single prop. For your DTI - need po ito iclose. Mayors Permit - pwede po tayo apply ng upgrade from single to corporation. By law po, hindi po tayo mag operate without permits but you can open at your own risk po, kumbaga may 50-50 chances po kasi yan. 50% chance mabibisita po kayo ng LGU or BIR and mapagsabihan po kayo at possible na magkapenalty or 50% na ndi po kayo mapupuntahan ng LGU or BIR until makuha niyo po ang permit ninyo.

Sole prop and OPC po ay magkaiba sila totally kaya ndi po xa pwede upgrade. DTI po ang sole prop while SEC po ang OPC. If mag open po kayo ng OPC wla po kasiguraduhan pa din if pwede niyo pa din gamitin ung sole prop business name po ninyo.

Gaano kahirap at kagastos mag convert from sole to opc? Malaki kasi matipid kung sole lang 8% tax vs 25%. Baka mas marami ako maipon na pera kung convert nalang ako from sole to opc kaysa opc agad agad. Sabihin natin 500k magastos sole to opc, baka mas malaki pa maipon ko kung sole muna ako kasi 17% less tax, kung 2.9M gross ko, 2.5M net, High margin product, 3 years puro ganun 7.5M x 17% = 1.2M. So 1.2M - 500k = 700k matipid ko. Di naman ako sure kung lolobo ba agad ang business ko masakit yung 25% to 30% tax.

If ang magiging negosyo po ninyo ay agro business at less than 3M pwede pa din po kayo mag OPC. Since wala po kayong anak, pwede naman po ibang kamag anak ang ilagay po ninyo sa nominees po.

To answer po, pwede at hindi po. Hindi po pwede kung ang negosyo po ninyo ay magkakaiba ng industry for example po ang negosyo ninyo ay milktea, laundry, at beauty clinic. Pwede po xa kung iisang industry lang po at need po yan specify sa primary and secondary purpose ng SEC po ninyo. Pero pwede po magkaron ng multiple trade name in one SEC business name.

Need po kasi malaman ng SEC kung sino po ang officers or incorporators ng negosyo, ito po ba ay natural person, isang company or isang government entity. If puro po mga tao ang kasama then person po. Sa SEC po kayo dahil ang DTI po ay para lang single proprietorship. Pwede po kayo paregister sa SEC as partnership or corporation.

Una po mam, need niyo po itransfer ang TIN po ninyo kung saan po located ang business ninyo. Pero dapat ngayon po nagawa niyo na po ang transfer dahil ndi naman po kayo mapaparegister sa BIR until ndi niyo po xa natransfer. 2nd, kung ang questions po ninyo ay about monthly taxes, magiging iba po ang magiging payment. Si employer po magbabayad po xa ng tax as employee po then need niyo din po magbayad ng tax as business owner. Pero pagdating po sa ITR, need po ninyo kumuha ng 2316 sa employer po ninyo dahil ang ifafile po ninyo ay mixed income earner po. Hoping nsagot ko po ang question ninyo. God bless po.

Sir meron po akong 3 business operate Yong isa po pina regester ko sa dti lang wala napong kasunod, kasi starting palang ako at saka dto pa po ako sa abroad!! Pag uwi ko pwdi ko po ito tatlo epa rehestro sa opc at paano po sir salamat po sa sagot
