Indirectly, yes. If the pricing discount is going to be some huge number, the company might be inclined to raise less capital so it doesn't have to sell as high a percentage of itself. But it's not a 1:1 direct impact in the model itself.

Generally, no, because most companies that have gone public via SPACs tend to have spotty or nonexistent cash flows and are much less mature than typical LBO candidates. But there may be a few exceptions.
