He was more of a henchman than a co conspirator. If you read there publicly released chats it is evident he raised so many red flags to Elizabeth, and she blatantly refused to listen to fix the problems. Instead they both hit it. He is definitely guilty but not to the extent of Elizabeth Holmes.

A henchman is a co-conspirator under the law. A co-conspirator is anyone who agrees with you to commit an unlawful act, whether or not you both have the same authority. He didn't leave the company, report to authorities, or back away from the agreement in any way when she refused to listen - that is agreement. And under the law, conspirators are guilty to the same extent as principal offenders.

That being he was a success in business, and I do believe he did attempt to get her to see reality and believed his huge investment would allow him the power to take this over. Somewhere his business sense became skewered and corrupt his business history was clean until THERANOS he had an impeccable reputation-----always a tyrant but not corrupt. He chose her over Right and I believe chose to try to make her delusional business legitimate. They are equals both deserve prison.
